# 経営管理サービス契約書（記入例）

## 1. 当事者と目的
Elmbridge Holdings Ltd（Company No. 07331109）は、2029年3月1日から、40 Foundry Road, Coventry CV1 4QTに所在する完全子会社Elmbridge Kitchens Ltd（Company No. 07331122）へcentral management servicesを提供します。
## 2. 金銭・権利
serviceはfinance oversight、HR administration、procurement、legal coordination、quarterly strategy reportingです。HoldingsはPriya Nairをservice directorに指名しreasonable skill and careを用いますが、business resultを保証せず、subsidiary directorsに代わりません。
## 3. 義務と運用
Kitchensはstatutory duties、solvency、employees、customers、contractsを負います。Holdingsは合意budget内15,000ポンドまでのroutine purchaseを承認できますが、borrow、重要asset処分、director雇用、reserved decisionはwritten board authorityなしに行いません。
## 4. 同意と管理
年額feeはVAT別180,000ポンド、quarterly in advanceで支払い、立替third-party costは実費rechargeします。各社は別個のrecordsとbank accountsを保ちます。Holdingsはconflictを報告し、Kitchensを害する場合はworkを断れます。
## 5. 終了と救済
personal dataはservicesのためだけ処理し、別役割を文書化しない限りKitchensをcontrollerとします。authorized staffとadviserにaccessを限定し、適切なUK GDPR securityを使い、personal-data breachをundue delayなく報告します。
## 6. 法律上の留保
3か月前通知で任意終了でき、insolvencyまたは未是正重大違反なら即時終了できます。Holdingsはcurrent books、passwords、workpapersを渡し、Kitchensは終了までのfeeを支払います。秘密、records、IP、既発生claimは存続します。
## 7. 署名
本group内arrangementはEngland and Wales lawに準拠し、distribution、employment contract、Kitchensのliability保証を意図しません。directorsが2029年2月15日に承認・署名します。
