# PHOTOGRAPHY AND VIDEOGRAPHY SERVICES AGREEMENT（撮影業務契約）

## 1. 当事者と目的
6 Clifton Mews, Bristol BS8 2PTのSarah Jane Clark（trading as Sarah Clark Photography）は、James WilsonとEmma Wilsonのweddingを2029年6月14日にSt Luke's ChurchとHarbour Hotel, Bristolでphotographします。Sarahは09:30に到着し、最大11時間のphotographic coverageと5分のhighlights videoを提供します。
## 2. 対象・対価・範囲
deliverableはcolour-corrected・lightly retouched JPEG 350–450枚、4K H.264 highlights video、password-protected online gallery（12か月）、5 business days以内のpreview 20枚です。RAW、extensive retouching、album design、drone footageはseparate quoteがない限り含みません。feeはVAT込み3,000ポンドで、booking retainer 600ポンド、残額2,400ポンドはeventの14日前が期限です。
## 3. 実施上の義務
Sarahはbackup cameraとcardを含むprofessional equipmentを使い、venueのaccess・safety ruleに従い、6月1日までに指定されたfamily groupを撮るreasonable effortをします。coupleはvenue permissionを得て、restriction、vulnerable guest、no-publication requestを通知します。second photographerを使う場合はcoupleにnotifyします。
## 4. 法令・記録・管理
Copyright, Designs and Patents Act 1988に基づくcopyrightはSarahが保持します。全額payment後、coupleにはworldwide、perpetual、royalty-freeのprivate print・personal social-media use licenceをcredit可能な範囲でgrantします。commercialまたはsupplier advertising useにはseparate licenceが必要です。coupleがwritten opt-outをした場合、Sarahはidentifiable imageをpublishしません。
## 5. 期間・終了・救済
eventの90日前より前のcancellationはretainerを失い、30–90日前はfeeの50%、30日以内はdemonstrable savingを控除した全feeが必要です。available dateへ12か月以内に一度rescheduleできます。Sarahがserious illnessまたはforce majeureで参加できない場合、suitable replacementまたはundelivered service相当額のrefundを提案します。
## 6. 責任と留保
Sarahはdelivery後3か月edited fileをencrypted off-site storageに保存し、RAWは60日保存します。その後はcoupleがcopyを維持します。death、negligenceによるpersonal injury、fraud、law上limitできないliabilityは除外しません。その他のaggregate liabilityはpaid feeをcapとし、total equipment failureではproportionate refundがremedyです。
## 7. 準拠法と署名
本契約はEngland and Wales lawに準拠します。noticeは記載住所へのhand deliveryまたはpost、または通知されたemail addressへのemailで行え、emailはbusiness dayにrecipient serverがdeliveryを記録した時にeffectiveです。当事者は2029年5月2日に署名し、Consumer Rights Act 2015のconsumer rightを害しません。
