# PR AND COMMUNICATIONS RETAINER AGREEMENT（PR業務RETAINER契約）

## 1. 当事者と目的
12 Queen Square, Bristol BS1 4NHのBright Spark PR Limited（Company No. 33445566）は、55 Temple Street, London EC4Y 0HPのNorthstar HR Technology Limited（Company No. 77889900）からUK public-relations supportを受託します。Bright Sparkのaccount leadはMaya Patel、Northstarのapproval contactはChief Executive Daniel Fosterです。
## 2. 対象・対価・範囲
月額3,500ポンド（VAT別）のretainerは、press release 2本、proactive journalist pitching、media monitoring、monthly coverage report、strategy meeting 1回を含みます。crisis supportはbusiness hours、out-of-hoursは1時間225ポンドです。50ポンド超のpre-approved expenseとthird-party productionはcostでreimburseします。coverageやpublication resultはguaranteeしません。
## 3. 実施上の義務
payment後、final copyとbespoke artworkはNorthstarがownし、Bright Sparkはpre-existing tool、template、know-how、generic methodologyを保持します。Northstarがreasonable written opt-outをしない限り、Bright Sparkはpublicly released workをcredentials deckにincludeできます。各当事者はembargoed informationをconfidentialにします。
## 4. 法令・記録・管理
Northstarはpress releaseとpublic statementを48時間以内、social copyを8 business hours以内にapproveします。Bright Sparkはunapproved factual claim、regulated financial promotion、personal dataをpublishしません。silenceはapprovalとみなさず、二度のdocumented chaser後もDanielが書面でdeemed-approval exceptionをauthorizeした場合だけproceedできます。
## 5. 期間・終了・救済
Bright Sparkはterm中、UK HR softwareのdirect competitorをknowingly representせず、potential conflictをdiscloseします。Northstarはaccurate substantiation、lawful customer permission、current crisis contact treeを提供します。KPIはmonthly activity・quality metricでありmedia impressionのpromiseではなく、quarterlyにreviewします。
## 6. 責任と留保
initial termは2029年7月1日から12か月、その後monthly rollingです。initial term後は各当事者が3 calendar monthsのnoticeでterminateできます。material breachを20 business daysでremedyしない場合、insolvency、serious unlawful publicationならterminateできます。終了時、Bright Sparkはpaid workをdeliverし、confidential materialをreturnしてtransition briefingをします。
## 7. 準拠法と署名
本契約はservices contractであり、Northstarをbindするauthorityを持つagencyではありません。各当事者は相手のpublic admissionをしません。England and Wales lawを適用し、noticeは記載legal contactへのhand delivery、post、またはemailを別々の許可methodとし、emailはrecorded delivery時にeffectiveです。Maya PatelとDaniel Fosterが2029年7月1日に署名します。
