# SAAS SUBSCRIPTION AGREEMENT（利用契約）

当事者： Asterline Software LtdおよびMersey Clinics Group Ltd
## 1. 当事者と目的
Company No. 12100549のAsterline Software Ltdは、Company No. 09441027のMersey Clinics Group Ltdへ、2029年5月8日から2030年5月7日までcloud scheduling platformを80 authorised user向けに提供します。subscriptionはnon-exclusiveで、Mersey group内以外のtransfer不可、internal clinical administrationに限ります。
## 2. 対象・対価・範囲
feeはVAT別月1,920ポンド、quarterly前払いです。additional userはuser-monthあたり24ポンドです。Asterlineはrenewal時60日前noticeで5%以内のfee increaseができます。undisputed invoiceは30日払い、interestはLate Payment of Commercial Debts (Interest) Act 1998に従います。
## 3. 実施上の義務
Asterlineはscheduled・emergency maintenance、customer system、force majeureを除き月99.9% availabilityをtargetします。target未達のservice creditはaffected month feeの5%、上限25%です。repeated material failureではcreditが唯一のremedyではありません。supportはUK business-hour、critical incident responseは4時間以内です。
## 4. 法令・記録・管理
Merseyはcontroller、Asterlineはpatient dataのprocessorです。Schedule 2はUK GDPR Article 28 processing agreementとして、documented instruction、confidentiality、technical measure、sub-processor notice、rights・DPIA assistance、undue delayのないbreach notification、exit時return・deletionを定めます。dataはUKまたはapproved transfer mechanism内に置きます。
## 5. 期間・終了・救済
Asterlineはplatform、documentation、improvementを所有し、Merseyはrecordとcontentを所有します。Merseyはhost・processに必要なlicenceだけを与えます。Asterlineはsecurityとproduct improvementのため、irreversibly anonymised aggregated service statisticだけを利用し、identifiable patient dataは利用しません。public AI serviceへconfidential dataをuploadできません。
## 6. 責任と留保
initial termは年次renewalし、各当事者は60日前noticeで止められます。30日のcure期間後のmaterial breach、insolvency、unlawful processingで終了でき、substantiated serious security breachならMerseyはimmediate terminateできます。Asterlineは30日以内にCSV・JSON exportを提供し、legal retentionを除き90日後にlive dataをdeleteします。
## 7. 準拠法と署名
aggregate liabilityは直前12か月のpaid feeをcapとし、fraud、negligenceによるdeath・personal injury、wilful misconduct、confidentiality misuse、limitできないdata-protection fine、payment obligationは除外します。イングランド法を適用しcourts of England and Walesをexclusive jurisdictionとします。director Ella PriceとDavid Mensahが署名します。
