# SHAREHOLDER BUYOUT AGREEMENT（SHAREHOLDER BUYOUT AGREEMENT）

## 1. 目的と当事者
Aisha KhanはBrookfield Design Limitedのordinary share 18,000株をcontinuing shareholderへagreed proportionでsellし、continuing shareholderがpurchaseします。companyは別個のstatutory buyback procedureがcompleteしない限りpurchaserではなく、本agreementはshareholder間transferです。
## 2. 事実、範囲および条件
priceは£270,000で、31 December 2030 accountに基づくenterprise-value calculationをcash・debtでadjustします。completionで£220,000をpayし、£50,000は12か月escrowでlimited warranty claim processに備えますがautomatic deductionではありません。
## 3. 手続と責任
Aishaはtitle、authority、fully paid status、encumbrance不存在をwarrantし、disclosure letterのsubjectとします。buyerはfundとauthorityをwarrantします。future profitabilityのunqualified warrantyはせず、fraudとdeliberate concealmentはagreed cap外です。
## 4. 証拠、記録および保護措置
completionにはexecuted stock-transfer form、share certificateまたはindemnity、articles subjectのboard approval、register update、cleared fund paymentが必要です。companyはrequired filingとPSC informationをupdateし、lawに従いregistration時にrisk・voting rightがpassします。
## 5. review、escalationおよびoutcome
Aishaはcompletionでdirectorをresignし、password、book、company propertyをhandoverします。taxはtransaction documentに従ってallocateし、independent tax adviceを取得します。特定tax treatmentをpromiseせず、confidentialityはcompletion後も続きます。
## 6. 留保と実務上の保護
paymentとregistration後、partyはshareholdingとmanagementに関するknown claimをreleaseしますが、fraud、warranty、accrued right、confidentiality、tax indemnity、surviving obligationを除きます。disputeはまずdirector meeting、必要ならmediationへ進みます。
## 7. England and Walesの法と完了
England and Wales lawを適用します。hand、post、transaction emailを別個permit methodとします。7 March 2031にsignし、別のcompletion checklistがなければregistered officeでsingle exchangeを行います。
