# STARTUP ADVISOR AGREEMENT（STARTUP ADVISOR契約）

当事者： Lattice Grove LimitedおよびDr Rachel Oates
## 1. 当事者と目的
28 Park Square, Leeds LS1 2NYのLattice Grove Limited（Company No. 15120784、Company）は、7 Moor Road, Ilkley LS29 8BTのDr Rachel Anne Oates（Advisor）をenterprise salesとSeries A fundraisingのadvisorにappointします。
## 2. 対象・対価・範囲
Rachelは月1回1時間のvideo call、email advice最大2時間、quarterly go-to-market review、prospective customerへのreasonable introductionを提供します。best effortsはしますが、investment、revenue、customer contractその他outcomeをpromiseせず、Companyをbindするauthorityを持ちません。
## 3. 実施上の義務
Companyは月600ポンド＋VATをmonthly in arrearsで払います。CompanyはRachelへfully diluted ordinary shareの0.25%相当のEMI share-option grant（24か月monthly vesting、six-month cliff）をgrantする意図がありますが、board approval、HMRC eligibility、separate plan documentが条件で、valid grantまではoptionは存在しません。
## 4. 権利・記録・法令遵守
RachelはCloudBase Ltdとのcontinuing consultancyをdiscloseし、同社のconfidential informationを使わず、conflictがあるcustomerをintroduceしません。Companyは正確なfinancial・product informationを渡しますが、board seatをpromiseせず、adviceを採用するか独立して決めます。当事者はindependent contractorで、partnerやemployeeではありません。
## 5. 期間・終了・救済
双方はconfidential informationをprotectし、personal dataをUK GDPRのもとrelationshipにのみ使います。Rachelはこの契約でspecificに作りpaidされたbespoke written deliverableをCompanyへassignしますが、general know-howとpre-existing materialは保持します。inside informationでCompany securitiesをtradeできません。
## 6. 責任と留保
initial termは2029年12月4日から12か月です。いずれも30日のwritten noticeでendでき、serious breach、fraud、insolvency、manage不能のconflictならimmediately endできます。performed workのfeeはdueのままで、confidentiality、IP、accrued payment、option-plan ruleはtermsに従いsurviveします。
## 7. 準拠法と署名
本契約はEngland and Wales lawに準拠し、そのcourtsをexclusive jurisdictionとします。CEO Marcus BellとRachelは、independent tax・legal adviceを得るよう勧められたうえで2029年12月4日に署名します。予定するEMI treatmentはtax guaranteeではありません。
