## 1. 目的と当事者
21 Church Walk, Bath BA2 3JLのTransferor Rachel Evansは、同住所のtransferee Michael EvansへEvans Joinery Limited（Company No. 09182736、registered office 8 Foundry Lane, Bath BA1 4AA）のfully paid Ordinary share £1を120株transferします。shareはcertificate J-04でidentifyします。
## 2. 事実、範囲および条件
transfer dateは2030年9月2日、considerationは£18,000（1株£150）で、shareholder agreementに基づきbank transferします。Rachelはshareをownし、fully paidでencumbranceがないことをwarrantしますが、articlesとdisclosed pre-emption waiverに従います。
## 3. processと責任
directorは8月26日にnotice後、articlesのpre-emption procedureをwaiveするとresolutionしました。本formはshare purchase agreementではなく、上記limited title warranty以外にcompany value、tax、account、future dividendのwarrantyを与えません。
## 4. evidence、recordおよびsafeguard
transfereeはacceptanceにsignし、register of members用addressを提供します。company secretaryはexecution、board authority、certificateをinspectし、old certificateをcancelし、new certificateをissueし、register of membersをupdateし、relevant control thresholdが変わる場合だけPSC registerをupdateします。
## 5. review、escalationおよびoutcome
stamp dutyは自動的にnilではありません。consideration £1,000超では、current HMRC rule・exemptionを前提に通常0.5%をnearest £5へround upします。£18,000のindicative dutyは£90です。MichaelはHMRC instructionを得て、必要ならproperly completed formをstampingへ送ります。tax adviceは別です。
## 6. 留保と実務上のprotection
companyはordinary transferごとにCompanies House filingをしませんが、changeはnext confirmation statementに反映します。PSC changeはstatutory timetableでrecord・notifyします。registrationまではlegal titleとvotingがarticles・company processに左右されます。
## 7. England and Walesのlawとcompletion
必要な場合witnessの前でsignし、copyをretainし、address changeをcompanyへnotifyします。England and Wales lawを適用します。Rachel、Michael、Company Secretary Helen Wardが2030年9月2日に本worked formをcompleteします。
