# STRATEGIC ALLIANCE AGREEMENT（STRATEGIC ALLIANCE）

## 1. 目的と当事者
Meridian Robotics LimitedとValegreen Logistics plcは、ValegreenのBristol depotでautonomous warehouse-picking trialを行います。本allianceはcontractual collaborationであり、merger、agency、partnership、joint ventureではなく、written authorityなしに相手をbindできません。
## 2. 事実、範囲および条件
Meridianは10 prototype robotとsoftwareを、Valegreenはtest site、trained operator、operational dataをprovideします。first phaseは12か月で、safety test、98% pick accuracy、jointly approved commercial feasibility reportのmilestoneを置きます。
## 3. 手続と責任
steering committeeは各party 2名でbudget、milestone、changeをapproveします。decisionはconsensus、未解決なら各commercial director、次にmediationへ進みます。immediate safety riskがあればpartyはbreachなくtestをsuspendできます。
## 4. 証拠、記録および保護措置
各partyはbackground IPをretainします。new jointly created materialはsigned contribution scheduleでownershipを定め、scheduleがなければ相手のconfidential materialをcommercialiseできません。identifiable staff dataのsecurity control、incident report、UK GDPR roleはdata scheduleに記録します。
## 5. review、escalationおよびoutcome
costはbudgetに従って負担し、later phaseのfundをimplyしません。accident、regulatory contact、material defectはpromptにreportします。publicity、customer use、subcontractingはprior written consentが必要で、insuranceとsite ruleはresponsible partyのdutyです。
## 6. 留保と実務上の保護
material breachが30日でremedyされない場合、insolvency、合理的にmitigateできないsafety issueでterminateできます。exitではequipmentとdataのreturn、safe shutdown、accrued undisputed invoiceのpaymentを行います。forecastやpilot resultはcommercial successのwarrantyではありません。
## 7. England and Walesの法と完了
England and Wales lawを適用し、courtはexclusive jurisdictionを持ちます。4 August 2031にsignし、hand delivery、post、emailを別個のpermitted notice methodとしてlistします。non-partnership wordingでもactual conductによるlegal consequenceを裁判所が適用することは妨げません。
