# TALENT AND CREATIVE REPRESENTATION AGREEMENT（代理契約）

## 1. 当事者と目的
Company No. 12670110のNorthline Talent Ltdは、8 Linton Road, Cardiff CF11 6AAのactor・voice artist Isla Morganを、2029年7月15日からUK screen、theatre、voice、commercial engagementについてrepresentします。Islaはtheatre・voiceをnon-exclusive agent、UK screenをexclusive agentとしてNorthlineにappointします。
## 2. 対象・対価・範囲
Northlineはopportunityを紹介しtermをnegotiateできますが、Islaのwritten approvalなくIsla名義でengagementをsignしません。roleのaccept、rehearsal、professional conduct、right-to-work document、union membershipはIslaの責任です。Northlineはcontrolできないcredit、billing、casting outcomeをpromiseしません。
## 3. 実施上の義務
commissionはscreen・commercialのgross fee実受領額の12.5%＋VAT、theatre・voiceは10%＋VATです。Northlineはmonthly accountを出し、cleared client fundから5 business days以内にIslaのnet feeをremitします。pre-approved travel、audition、safeguarding-check costはmarkupなし実費でreimburseします。
## 4. 法令・記録・管理
Northlineはconflictをdiscloseし、deal memoを保持し、related-party engagementにconsentを得ます。Islaはapproved headshot、biography、showreelをmarketするlimited licenceだけを与え、paid advertising、synthetic voice、AI training、imageのmaterial alterationにはseparate written consentが必要です。
## 5. 期間・終了・救済
Northlineはclient contactをsecureに扱いUK GDPRに従います。safeguarding concern、harassment、unsafe production conditionを速やかにreportし、Islaにwork acceptanceをpressureしません。Islaはhealth、safety、religious、caringその他lawful groundでworkを断れ、acceptしなかったroleにはcommissionが発生しません。
## 6. 責任と留保
各当事者は30日前noticeでterminateでき、serious breach・safeguarding riskならimmediate terminateできます。Northlineはtermination前にsubstantially negotiateしたengagementについて6か月commissionを受けますが、deal recordを渡し、introduceしなかったworkのcommissionは請求できません。exit時personal data等を返します。
## 7. 準拠法と署名
イングランド法を適用し、courts of England and Walesが管轄します。Northlineのdirector Chloe EvansとIslaが2029年7月15日に署名します。本契約はagency representationでありemployment・partnershipではありません。commission、exclusivity、union rule、engagement-specific contractについてindependent adviceを得るべきです。
