# TRANSLATION SERVICES AGREEMENT（翻訳業務契約）

## 1. 当事者と目的
Company No. 07445521、15 Castle Street, London EC3V 0BTのHarbour Words Limitedは、Kinross Medical Devices LimitedのEnglish product manualとwebsite copyをJapaneseへtranslateします。Kinrossのproject managerはRachel Moore、Harbour Wordsはqualified Japanese linguistとmedical-device vocabularyのtechnical reviewerをappointします。
## 2. 対象・対価・範囲
scopeは2029年8月19日付version-controlled fileのEnglish 48,000 wordsで、translation、terminology glossary 1つ、consolidated review round 1回を含みます。sworn translation、regulatory submission、typesetting、new source text、later revisionは除外します。priceはVAT別9,600ポンド、instruction時40%、accepted file delivery時60%です。
## 3. 実施上の義務
Harbour Wordsは9月13日までにfirst batch、10月4日までにfinal batchをeditable DOCXとbilingual QA formatでdeliverします。Kinrossはstyle guide、approved product name、regulatory contextを出し、5 business days以内にconsolidated query listを返します。Harbour Wordsは30日以内にnotifyされたobjective mistranslationをcorrectします。
## 4. 法令・記録・管理
Kinrossはsource text、product data、trademark、confidential informationをownします。全額payment後、Harbour Wordsはbespoke translationのcopyrightをKinrossへassignしますが、general language know-howとreusable non-confidential techniqueはretainします。written consentなしにsource・translationをpublic AI serviceへuploadせず、model trainingに使いません。
## 5. 期間・終了・救済
両当事者はtechnical、personal、commercial informationをconfidentialにし、personal dataがあればUK GDPRを守ります。Harbour Wordsはsecure transfer、named teamへのaccess restrictionを行い、suspected data incidentを24時間以内にnotifyします。Kinrossはsource提供権をwarrantし、product claimとregulatory instructionのlegal accuracyに責任を持ちます。
## 6. 責任と留保
Harbour Wordsはreasonable skill and careを行いますが、translationはlegal・regulatory adviceではなく、publicationにはKinrossのfinal approvalが必要です。fraud、deliberate misconduct、negligenceによるdeath・personal injuryはexcludeしません。その他aggregate liabilityはfeeの2倍をcapとし、confidentiality、data misuse、IP infringementを除きindirect lossを負いません。
## 7. 準拠法と署名
本契約はfinal deliveryとcorrection完了までで、uncured material breachまたはinsolvencyならterminateできます。unused advance feeはproperly performed workを控除してrefundします。England and Wales lawを適用し、noticeはhand delivery、post、emailを別methodとし、directors Rachel MooreとKenji Watanabeが2029年8月26日に署名します。
