# WAYLEAVE AGREEMENT（UTILITY ACCESS）

## 1. 当事者と目的
44 Meadow Lane, Shrewsbury SY3 7AAのregistered proprietor Leah Morganは、Westshire Energy Networks plc（Company No. 02381455）へ、Plan Wのeastern garden route上のwayleaveをgrantします。44・46 Meadow Lane向けlow-voltage underground cableとjoint boxを許可しますが、freeholdや別documentのeasementをtransferしません。
## 2. 対象・対価・範囲
Westshireはreasonable skillでapparatusをinstall、inspect、maintain、repair、renew、removeできます。planned accessは5 business days以上前にnoticeし、emergency・safety workは除きます。identified contractorを使い、surface、planting、fencingをreasonable equivalent conditionへrestoreします。
## 3. 実施上の義務
annual paymentは175ポンド、5年ごとRPI review（minimum zero）で、installation disturbanceとevidenced crop・plant・damage lossとして350ポンドを追加します。毎年10月1日に支払います。LeahはWestshireのwritten consentなくstrip内でbuild、excavate、deep-rooted tree planting、access obstructionをしません。
## 4. 法令・記録・管理
Westshireはapparatus safety、statutory electrical compliance、contractor supervision、自らが生じさせたdamageを負います。Leahは自分のcontractorを負担し、cableをexpose・damageしたりhazardを見つければemergency numberへcallします。各当事者は適切なinsuranceを維持し、相手のnegligence liabilityを引き受けません。
## 5. 期間・終了・救済
Westshireはnoticeをしてsuccessor network operatorへwayleaveをassignできますが、unrelated commercial occupierへはできません。Leahはbuyerへdiscloseし、本契約保護に必要なLand Registry restriction、notice、registrationへreasonable co-operationをします。registrationはagreed personal obligationを変更しません。
## 6. 責任と留保
wayleaveは25年間続きますが、cableをpermanently remove、networkが不要、または30日でremedyされないmaterial breach後のterminationで終了します。Westshireはredundant apparatusをremoveしてmake goodします。compensation disputeはcourt前にindependent surveyorへ付しますが、urgent safety reliefを妨げません。
## 7. 準拠法と署名
イングランド法を適用し、courts of England and Walesが管轄します。LeahとWestshireのauthorised surveyor Daniel Priceが2029年10月1日に署名します。本wayleaveはplanning、building、highway workへのconsentではなく、Westshireは他のpermissionを得てstatutory powerに従います。
