# WEBSITE AND DIGITAL DESIGN AGREEMENT（WEB制作契約）

## 1. 当事者と目的
Company No. 13880102のMoorland Digital Studio Ltdは、18 Market Street, Sheffield S1 2GHのAlder & Finch Solicitors Ltdのpublic websiteをdesign・buildします。deliverableはSchedule 1のapproved sitemap、responsive design、accessible front end、CMS configuration、analytics setup、launch supportです。
## 2. 対象・対価・範囲
project feeはVAT別48,000ポンドで、kickoff時12,000、design approval後12,000、staging acceptance時18,000、launch時6,000です。Moorlandはfortnightly reportを出し各当事者はdecision-makerを指名します。extra work前にfee・schedule impactを記載したchange requestをapproveします。
## 3. 実施上の義務
Alderは10 business daysでmilestoneをacceptance criteria（responsive behaviour、WCAG 2.2 AA design objective、page-speed target、agreed content）に照らしtestします。defectはremedyしてretestし、material failureはacceptanceを遅らせますがminor cosmetic issueは遅らせません。Alderはlawful copy、image、cookie choice、professional approvalを出します。
## 4. 法令・記録・管理
Moorlandはsecure repository、role-based CMS access、backup、basic vulnerability remediation processを提供します。Alderはvisitor dataのcontrollerとして自分のprivacy・cookie noticeをpublishし、Moorlandはdocumented instructionだけでprocessingします。third-party font、plug-in、stock assetはlicenseに従いhandoverで特定します。
## 5. 期間・終了・救済
全fee支払後、Moorlandはbespoke design、code、site専用contentのcopyright（future rightを含む）をAlderへassignしますが、reusable toolとknow-howはretainします。embedded toolにはperpetual licenceを与えます。Alderはtrademarkと提供materialのlaunch use permissionを与えます。
## 6. 責任と留保
launch後3か月のdefect supportを含み、その後のhosting・supportは月1,250ポンド、critical outageのbusiness-day response 4時間です。各当事者はuncured material breachでterminateでき、Alderはproperly completed workを払い、Moorlandはwork-in-progressとcredentialを渡します。confidentialityは5年間surviveします。
## 7. 準拠法と署名
イングランド法を適用し、courts of England and Walesが管轄します。Moorlandのdirector Holly SinghとAlderのmanaging partner Edward Milesが2029年7月1日に署名します。Alderがcontent・approvalを遅らせた場合launch dateは保証されず、accessibility objectiveは継続的なlegal accessibility assessmentに代わりません。
