# LAND PROMOTION AGREEMENT

Date: 4 October 2031

Parties: Jonas Reed and Greenfield Promotion Limited

## 1. Purpose and parties

Jonas Reed appoints Greenfield Promotion Limited to promote his 10-acre agricultural land at Meadow Farm, Devon, title DN778812, for a residential planning permission. The promoter receives no ownership merely by appointment and must work within the agreed planning strategy.

## 2. Facts, scope and terms

Greenfield funds planning consultants, surveys, pre-application engagement and the application, subject to a £420,000 recoverable-cost cap unless Jonas consents in writing. It provides quarterly reports and cannot submit a materially different scheme without Jonas's approval.

## 3. Process and responsibilities

The parties will pursue a viable scheme, but planning permission is not guaranteed and the local planning authority remains independent. Greenfield may appeal a refusal after consultation, including a public inquiry, and must consider ecology, highways, drainage, CIL and section 106 obligations.

## 4. Evidence, records and safeguards

If the land is sold, net promotion proceeds are gross consideration less documented agreed costs and agreed planning obligations. Jonas receives 68%, Greenfield 32%, with a minimum land value of £1.8 million; costs above the cap require consent and cannot silently reduce that minimum.

## 5. Review, escalation and outcome

Greenfield markets only after Jonas approves the sales particulars and receives two independent valuations. A sale below 95% of the higher valuation needs Jonas's written consent. Over any agreed minimum land value, Jonas receives 20% of the additional value as overage.

## 6. Reservations and practical protections

The parties grant each other access rights needed for surveys and agree confidentiality, insurance and conflict disclosure. The term is four years, with termination for material breach or abandonment of the strategy; accrued third-party costs and the overage mechanism survive where the contract says.

## 7. England and Wales law and completion

England and Wales law governs. Signed on 4 October 2031, with notices by hand, post or email as separate permitted methods. Any disposition or option affecting land must be documented and executed with the required statutory formalities; this agreement does not itself grant planning permission.
