# EXAMPLE: LICENCE TO OCCUPY

Parties: Canal Yard Estates Limited and Blue Finch Ceramics Limited
## 1. Parties and subject matter
Canal Yard Estates Limited grants Blue Finch Ceramics Limited a personal licence to occupy Studio 4, Canal Yard, 3 Foundry Street, Manchester M1 5AB from 1 December 2028. The licence is a contractual permission only, does not grant a lease or exclusive possession, and is subject to the superior title and lender consent.
## 2. Financial terms
Blue Finch may use the 42 square metre studio for pottery design, low-volume production and sales appointments between 8.00 am and 8.00 pm. It must not use kilns beyond the approved specification, store hazardous material, or create nuisance without written consent.
## 3. Use and obligations
The licence fee is £1,450 per month plus VAT, payable on the first day by bank transfer. Blue Finch pays metered electricity, water and waste charges and a £2,900 security deposit, held and returned subject to the written condition report and lawful deductions.
## 4. Consent and management
Canal Yard provides access to the common entrance, loading bay by booking and shared welfare facilities. Blue Finch maintains its equipment, obtains insurance and consents, keeps fire exits clear and follows the estate's fire, health-and-safety and waste rules.
## 5. Ending and remedies
No assignment, sharing, sub-licensing, structural work or signage is permitted without Canal Yard's prior written consent. The parties will record any approved fit-out, and planning, building-regulation, environmental, insurance and business-rates responsibility remains with the party on whom law places it.
## 6. Legal reservations
Canal Yard may inspect on 48 hours' notice, immediately in an emergency. Either party may terminate on three months' notice after the first six months; immediate termination is available for serious breach after a reasonable remedy opportunity or insolvency where lawful.
## 7. Signatures
On expiry Blue Finch removes equipment, makes good approved alterations, returns access cards and pays utilities. This document should not be registered as a lease; VAT, SDLT, registration and lender-consent advice must be obtained if the arrangement is intended to create a registrable interest.
