Parties: Westborough Estates Ltd, Amelia Fox and Kestrel Design Studio Ltd

## 1. Purpose and parties

Westborough Estates Ltd, the landlord, consents to Amelia Fox, the head tenant, subletting the whole of Unit 4, 14 Kingfisher Court, Cardiff CF10 2QT, title number CYM123456, to Kestrel Design Studio Ltd. Amelia's head lease is dated 1 February 2029, runs for 6 years and expires on 31 January 2035. This licence is issued on 8 October 2031 and is conditional, not an assignment or release.

## 2. Facts, scope and terms

The permitted sublease may begin on 1 November 2031 and must end no later than 30 January 2035, leaving at least one day before the head lease expires. It covers the whole unit and the two allocated parking spaces numbered P14 and P15, solely for Kestrel's graphic-design studio and six office workers. The monthly rent is £1,450, payable in advance, with a £2,900 deposit; no residential use, nuisance, hazardous storage or further subletting is permitted.

## 3. Process and responsibilities

Before completion Amelia must provide Westborough with the final sublease, Kestrel's certificate of incorporation, insurance schedule and signed direct covenant. The sublease must reproduce the head lease covenants, the landlord's right of re-entry, the prohibition on alterations without consent, the repairing obligation and the prohibition on sub-subletting. Kestrel must observe all estate rules, fire procedures, planning requirements and insurance conditions as if it were the tenant.

## 4. Evidence, records and safeguards

Amelia remains primarily liable for every rent, repair, compliance and other obligation under the head lease, whether or not Kestrel performs it. Amelia must enforce the sublease covenants, notify Westborough within 2 working days of any material breach or damage, and not vary, surrender or renew the sublease without prior written consent. Kestrel's covenant does not create a direct tenancy with Westborough or release Amelia from liability.

## 5. Review, escalation and outcome

Westborough may inspect the unit on at least 48 hours' written notice during reasonable business hours, except in an emergency. Amelia and Kestrel will keep the unit secure, obtain public-liability insurance of £5 million and provide current evidence on request. Westborough's reasonable legal and survey fees of £780 plus VAT are payable by Amelia before completion; this payment is not rent and is not refundable if Kestrel withdraws.

## 6. Reservations and practical protections

If Kestrel defaults, Westborough may require Amelia to remedy the breach, and Amelia must take reasonable enforcement action without unlawfully evicting Kestrel. Consent may be withdrawn only according to the head lease and applicable law; no condition permits Westborough to unreasonably withhold or delay consent under section 19(1)(a) of the Landlord and Tenant Act 1927. Any later consent must be separately requested and does not arise by implication.

## 7. England and Wales law and completion

This completed fictional licence is governed by England and Wales law and does not vary the head lease except to record the specified consent. It was signed by Westborough on 8 October 2031, by Amelia on 9 October 2031 and by Kestrel on 10 October 2031. The parties retain this licence, the approved sublease, payment receipt, insurance evidence and title plan; notices may be delivered by hand, post or email to the stated addresses.
