# LIVE STREAMING AND CONTENT LICENSING AGREEMENT

Date: 1 March 2030

Parties: Apex Gaming UK Limited and Nia Williams trading as NiaPlays

## 1. Parties and purpose

Apex Gaming UK Limited (Company No. 13290844), 50 Broad Street, Birmingham B1 2HF (Brand), engages Nia Williams of 21 Grove Road, Cardiff CF11 6AA, trading as NiaPlays (Creator), to livestream the launch of Apex's fictional Northstar game on Twitch and YouTube on 22 March 2030.

## 2. Scope, price and subject

The Creator will stream for at least three hours, show the approved game build, read two 60-second sponsor messages and place the agreed overlay and links. Apex pays £4,000 plus VAT: £2,000 on signing and £2,000 within ten Business Days after the stream, provided the Creator supplies platform analytics.

## 3. Operating duties

The Creator grants Apex a 30-day non-exclusive licence to post up to five two-minute clips and embed the VOD on owned websites, with credit. The Creator retains copyright, channel and name rights; Apex may not edit a clip misleadingly or combine it with third-party music. No ownership or perpetual licence is transferred.

## 4. Rights, records and compliance

For seven days before and after the stream, the Creator will not promote a competing console game publisher, excluding pre-existing commitments disclosed in Schedule 2. Apex may review factual brand claims and overlay for compliance but cannot require an editorial opinion or unsafe technical act.

## 5. Term, ending and remedies

The Creator enables platform paid-promotion tools and gives clear verbal and written disclosure such as 'This stream is sponsored by Apex Gaming', complying with the ASA/CAP Code and platform rules. Apex supplies substantiated claims and approved assets; both promptly correct a misleading ad or regulatory concern.

## 6. Liability and reservations

The Creator provides a 1080p stream, backup connection and reasonable moderation. If a platform outage or serious illness prevents the stream, the parties choose one replacement date or refund the unearned fee. Either may terminate for material breach; accrued licence rights for lawful clips and confidentiality survive.

## 7. Governing law and signatures

England and Wales law governs and its courts have exclusive jurisdiction. Nia and Apex marketing director Chloe Martin sign on 1 March 2030. Neither party excludes liability for fraud, negligence causing death or injury, or obligations under applicable advertising and consumer law.
