# MAINTENANCE AND REPAIR SERVICES AGREEMENT

Parties: FastFix Maintenance Limited and Greenfield Manufacturing Limited
## 1. Parties and purpose
FastFix Maintenance Limited (Company No. 11223344) of 8 Park Works, Derby DE1 2GX will maintain Greenfield Manufacturing Limited's HVAC units and conveyor lines A and B at its Birmingham factory, 20 Aston Road, B6 4TR. The asset schedule records make, model, serial number, location and the manufacturer's warranty status.
## 2. Scope, price and subject
The planned programme comprises quarterly inspections, an annual comprehensive service, lubrication, filter changes, safety checks and a written condition report. It excludes capital replacement, asbestos, electrical installation work outside the listed equipment and damage caused by misuse. The annual fee is £7,200 plus VAT, invoiced quarterly in advance; labour is £98 per hour and parts are cost plus 15% unless included.
## 3. Operating duties
Priority 1 means a full production breakdown and receives a telephone response within 30 minutes and on-site attendance within four hours, 24/7. Priority 2 receives an eight-hour business-day response and Priority 3 is scheduled within three business days. Greenfield must use the callout number, isolate dangerous plant where safe, and provide access, permits and a competent site contact.
## 4. Compliance, records and controls
FastFix will use suitably trained engineers, follow the Health and Safety at Work etc. Act 1974, site rules and manufacturer's instructions, and provide risk assessments and method statements for planned work. OEM or OEM-approved parts are required; a non-OEM part needs Greenfield's written approval and FastFix must explain any warranty consequence. FastFix will not subcontract specialist work without remaining responsible for it.
## 5. Term, ending and remedies
Every visit produces a job sheet recording readings, parts, photographs, defects and engineer name. FastFix supplies quarterly performance summaries and immediately escalates a critical safety defect. Greenfield keeps operating manuals, statutory inspection certificates and maintenance history available; neither party may treat a missed service as proof that equipment is safe to operate.
## 6. Liability and reservations
FastFix warrants workmanship for 90 days after completion and will return to correct defective work notified in that period. Neither party limits liability for death or personal injury caused by negligence, fraud or deliberate misconduct. Subject to that, aggregate liability is capped at fees paid in the preceding 12 months and neither party is liable for lost production or profit, except for confidentiality or unpaid fees.
## 7. Governing law and signatures
The initial term is 12 months from 1 July 2029 and renews annually unless either party gives 90 days' notice. Material breach may be terminated after 20 business days to remedy; immediate suspension is permitted for unsafe access or non-payment. England and Wales law applies, and directors Marcus Bell and Helen Ward sign on 17 June 2029.
