# MARKET RESEARCH AGREEMENT

Parties: Lumen Foods Ltd and Insight Harbour Research Ltd
## 1. Purpose and parties
Lumen Foods Ltd appoints Insight Harbour Research Ltd on 12 March 2034 to conduct a fictional study of UK consumers' views of low-sugar breakfast products. The project covers 800 adults aged 18 or over, with quotas of 200 respondents in each of four regions: Wales, London, the North West and the South West. The fieldwork period is 18 March to 5 April 2034.
## 2. Facts, scope and terms
Insight Harbour will prepare the questionnaire, obtain Lumen's written approval before launch, recruit through its panel, screen for eligibility and deliver anonymised results. It must not imply that participation affects a person's benefits, insurance or access to services, and it must not recruit children. Incentives are £8 per completed respondent, so the planned maximum is £6,400, plus the agreed £2,000 analysis fee.
## 3. Process and responsibilities
The researcher will use neutral wording, record consent, permit withdrawal before submission and provide a privacy notice naming the controller and lawful basis. It will not collect health, precise location, political opinion or other special-category data. Quality controls include one response per panel account, attention checks and removal of demonstrably fraudulent responses, reported transparently.
## 4. Evidence, records and safeguards
A draft questionnaire is due on 15 March, pilot findings on 20 March, cleaned tables and a methodology report on 12 April, and a presentation on 19 April. Lumen has five business days to identify a material error; Insight Harbour will correct a verified calculation or quota error once without additional fee. The report will state the sample, dates, weighting, exclusions and limitations.
## 5. Review, escalation and outcome
Lumen owns its product information and confidential briefing. Insight Harbour owns its pre-existing tools and general know-how, but grants Lumen a perpetual, worldwide, royalty-free licence to use the commissioned questionnaire, tables and report internally and in external marketing that does not identify respondents. Neither party may publish individual responses.
## 6. Reservations and practical protections
Lumen will pay £2,000 on signature, approved respondent incentives monthly in arrears and the balance of £6,400 or the actual eligible total, whichever is lower, within 30 days of the final invoice. The parties will comply with UK GDPR, the Data Protection Act 2018, the Market Research Society Code and PECR where electronic contact is used; a processor agreement will govern any processing for Lumen.
## 7. England and Wales law and completion
This completed fictional agreement is governed by England and Wales law and runs until final delivery, with confidentiality and data obligations surviving. Either party may terminate for an uncured material breach after 10 days' notice; Lumen pays approved work and incentives already incurred. Disputes go first to senior negotiation for 10 business days, without preventing urgent confidentiality or data protection relief.
