# MEDIA AND VIDEO PRODUCTION AGREEMENT

Date: 8 July 2029

Parties: Red Kite Films Limited and Westborough Museum Trust

## 1. Parties and purpose

Red Kite Films Limited (Company No. 09981245), 6 Canal Wharf, Manchester M4 7EA (Producer), is commissioned by Westborough Museum Trust (Registered Charity No. 1172048), 1 Gallery Square, Sheffield S1 2GH (Client), to make a 12-minute documentary about the Trust's textile collection.

## 2. Scope, price and subject

The fee is £36,000 plus VAT: £10,800 on signature, £14,400 on approval of the rough cut, and £10,800 on delivery of the accepted master. The brief, interview list, two filming days and delivery specification in Schedule 1 form the agreed scope; a third filming day or material change is a quoted variation.

## 3. Operating duties

Red Kite supplies crew, camera, sound, edit, captions and a 4K ProRes master plus web H.264 file by 15 November 2029. The Client has ten Business Days to give one consolidated round of reasonable editorial comments on the rough cut; a second round correcting Producer errors is included, but creative changes after approval are chargeable.

## 4. Rights, records and compliance

The Producer obtains contributor releases, location permissions and music licences and keeps a clearance log. Copyright in commissioned footage and final film transfers to the Client on full payment, while Producer retains its pre-existing tools and can show the film in its reel after the Client's public launch. The Client owns its supplied logos and archival material.

## 5. Term, ending and remedies

Neither party may publish identifiable personal data or a contributor's image outside the agreed film without appropriate permission. The Client will provide accurate historical information and a safe filming environment; the Producer follows health and safety directions and does not guarantee audience numbers or grant funding.

## 6. Liability and reservations

Either party may terminate for an uncured material breach or insolvency; the Client may cancel for convenience on 20 Business Days' notice, paying work performed, committed third-party costs and a reasonable wind-down fee. On Producer default, the Client receives project files for paid work and a proportionate refund, subject to any lawful third-party restrictions.

## 7. Governing law and signatures

The law of England and Wales governs and the courts of England and Wales have exclusive jurisdiction. Director Amina Yusuf signs for Red Kite and Trustee Peter Bell signs for the Trust on 8 July 2029. Nothing limits liability for death, personal injury caused by negligence, fraud or other liability that cannot lawfully be limited.
