# MUSIC RECORDING AND ARTIST AGREEMENT

Date: 1 August 2029

Parties: Mara Ellis p/k/a “Mara North” and Lantern Sound Recordings Ltd

## 1. Parties and purpose

Mara Ellis, professionally known as “Mara North”, engages Lantern Sound Recordings Ltd (Company No. 11264081) to record one album of ten original tracks. Sessions take place in Manchester from September to November 2029; Mara supplies performances and delivery meeting the technical specification in Schedule 1.

## 2. Scope, price and subject

Mara assigns to Lantern the copyright and related rights in the final master recordings worldwide for the contract term and any agreed extension, subject to the reversion clause. Lantern owns and controls exploitation of the masters; Mara retains her underlying songwriting and publishing rights except for any separate written publishing deal.

## 3. Operating duties

Lantern provides a £24,000 recording fund, including studio, producer, mixing and mastering. It is recoupable only from Mara’s recording royalties and is not cross-collateralised against publishing. Lantern pays Mara a £6,000 advance on signature, also recoupable from recording royalties.

## 4. Compliance, records and controls

Mara receives 18% of net receipts from digital and streaming exploitation, 18% PPD for physical sales and 50% of net sync receipts. Statements are delivered twice yearly within 60 days of each period end and paid within 30 days; Mara may audit once each year on reasonable notice.

## 5. Term, ending and remedies

Lantern must commercially release the accepted album in the UK within 12 months after delivery. If it fails, Mara may give 60 days’ notice to terminate the master licence and recover the unreleased masters, while Lantern retains properly recouped amounts and rights already licensed to third parties.

## 6. Liability and reservations

Lantern may edit for technical quality and grant sync licences, but must not materially alter Mara’s performance deceptively. It credits “Mara North” where customary; Mara asserts her CDPA 1988 paternity right and consents to reasonable compilation edits. PPL and other performers’ rights remain subject to their statutory and contractual schemes.

## 7. Governing law and signatures

English law governs and the courts of England and Wales have jurisdiction. Mara and Lantern’s director Joel Bennett sign on 1 August 2029. No term transfers songwriting copyright, guarantees a hit, or prevents Mara from taking independent legal advice before assigning performer rights.
