# MUTUAL CONTRACT TERMINATION AGREEMENT

Parties: Juniper Events Ltd and Solent Venue Group Ltd
## 1. Parties and purpose
Juniper Events Ltd and Solent Venue Group Ltd agree to terminate their Event Production Services Agreement dated 1 April 2028 on 30 November 2029 (Termination Date). Each party confirms it has authority and that this agreement records a negotiated commercial exit, not an admission of breach.
## 2. Money and rights
Solent will pay Juniper £27,400 plus VAT for accepted work and approved cancellation costs within 10 days of a valid final invoice. Juniper will credit £3,000 for an unperformed December package and return the unused £1,200 deposit; neither party owes another amount except the reconciliation stated here.
## 3. Duties and operation
By 5:00 pm on the Termination Date Juniper will deliver the final event plans, paid-for artwork, supplier status, credential list and client-approved files through the encrypted portal. Solent will return Juniper equipment and revoke access to venue systems; each party confirms receipt in a handover checklist.
## 4. Consent and management
Subject to payment and handover, each party releases the other from known and unknown claims arising out of the original agreement up to the Termination Date, except fraud, deliberate concealment, personal injury or rights that cannot lawfully be released. The release does not release customer claims against either party.
## 5. Ending and remedies
Confidentiality, intellectual-property ownership, data deletion, record retention, accrued payment rights, audit cooperation and dispute provisions survive as needed. Personal data must be returned or securely deleted unless law requires retention, and any retained copy remains protected.
## 6. Legal reservations
Neither party will make a knowingly false or disparaging public statement. They may give truthful statements required by law, regulators, insurers or professional advisers. The agreed external message is that the parties completed the project and are pursuing separate plans; this is not a non-disclosure of unlawful conduct.
## 7. Signatures
England and Wales law applies and the courts of England and Wales have exclusive jurisdiction. Each party had an opportunity for independent advice, signs by an authorised director on 15 November 2029, and receives a counterpart.
