# NON-SOLICITATION AGREEMENT

Date: 1 September 2029

Parties: Bright Quay Analytics Limited and Ethan Moore

## 1. Parties and purpose

Bright Quay Analytics Limited (Company No. 12991102) of 20 Temple Back, Bristol BS1 6FL employs Ethan Moore of 2 Clifton Down, Bristol BS8 4AG as Head of Client Delivery. The parties enter this agreement alongside his employment contract.

## 2. Money and rights

For six months after Ethan's employment ends, he must not solicit or actively target a Restricted Customer with whom he had material dealings in the 12 months before termination, for competing analytics services.

## 3. Duties and operation

For the same six-month period, Ethan must not knowingly solicit a Protected Employee to leave Bright Quay where that employee worked closely with him in the preceding 12 months. General advertisements and responses to unsolicited approaches are not prohibited.

## 4. Consent and management

Restricted Customers are listed in Schedule 1: Fenwick Retail Group, Oakmere NHS Trust and Vale Housing Association. The restriction protects confidential relationships and goodwill, not every person Ethan encountered or information already public.

## 5. Ending and remedies

Ethan may work for a competitor, use his general skills and accept work from a customer who approaches him without targeted solicitation. Nothing prevents whistleblowing, reporting crime, protected disclosures or exercising statutory employment rights.

## 6. Legal reservations

Each restriction is separate and must be reasonable and no wider than necessary to protect Bright Quay's legitimate interests. Bright Quay may seek an injunction and damages, but no penalty is payable merely because a customer chooses another supplier.

## 7. Signatures

This agreement is governed by England and Wales law and does not extend employment notice, garden leave or confidentiality duties beyond their own terms. Ethan confirms he had time to obtain independent advice and both parties sign.
