# OVERTIME AGREEMENT

Parties: Northmoor Analytics Limited and Samuel Okafor
## 1. Purpose and parties
Northmoor and Samuel Okafor agree a temporary overtime arrangement for the data-centre migration from 11 November to 20 December 2030. It supplements, but does not permanently vary, Samuel's employment contract or guarantee future overtime.
## 2. Facts, scope and terms
Samuel's normal 37.5 hours remain. Overtime must be approved in writing by the Project Director before it is worked, except an urgent incident reported the same day. Approved hours Monday to Saturday are paid at 1.25 times basic hourly pay; Sunday and public-holiday hours are paid at 1.5 times.
## 3. Process and responsibilities
The rate is calculated from basic salary and excludes discretionary bonus. Payroll will record actual hours and pay them in the following month's payroll, subject to lawful deductions. Overtime will not reduce pay below the National Minimum Wage and cannot be used to avoid holiday pay or other statutory entitlements.
## 4. Evidence, records and safeguards
Managers must schedule rest breaks and consider the Working Time Regulations 1998, the 48-hour average limit and any valid opt-out. Samuel may withdraw a voluntary opt-out in accordance with the notice terms. No one is penalised for declining unapproved overtime or raising a safety concern.
## 5. Review, escalation and outcome
Samuel must record start, finish, breaks, task and approver in the time system and must not work while unfit. Northmoor provides a safe rota, training and a contact for fatigue or health concerns. The arrangement ends automatically on 20 December unless a further written agreement is signed.
## 6. Reservations and practical protections
A payroll query goes to Finance within 30 days; a wider concern may use grievance. The parties will audit hours, pay and rest after the migration. This agreement does not waive equality, whistleblowing, holiday, working-time or health and safety rights.
## 7. England and Wales law and completion
England and Wales law applies. Post, hand delivery and email are separate permitted notice methods. Samuel and Project Director Maya Shah sign on 5 November 2030 after the rates and voluntary nature were explained.
