# COMMERCIAL PAYMENT REMINDER LETTER

Parties: Brackenridge Studio Limited and North Quay Retail Group Limited

## 1. Purpose and parties

Brackenridge Studio Limited writes to North Quay Retail Group Limited at 42 Harbour Exchange, Bristol BS1 4QA about invoice BS-2031-091. Brackenridge supplied brand strategy and packaging design under the services order dated 1 August 2031; the work was accepted by North Quay on 29 August and no credit note or complaint has been issued.

## 2. Facts, scope and terms

Invoice BS-2031-091 was issued on 1 September 2031 for £14,400.00 net plus VAT of £2,880.00 at 20%, making the principal balance £17,280.00. Its agreed 14-day payment term made 15 September 2031 the due date. No payment has been received, so the whole principal has been overdue for 30 days on the date of this letter.

## 3. Process and responsibilities

This is a final commercial demand, not an account statement or an admission that any disputed sum is due. Brackenridge asks North Quay to pay £17,280.00 by BACS no later than Wednesday 22 October 2031, using sort code 20-45-67, account 44781236 and reference BS-2031-091. North Quay must email remittance advice to accounts@brackenridge.example on the same day.

## 4. Evidence, records and safeguards

Under the Late Payment of Commercial Debts (Interest) Act 1998, statutory interest is 8 percentage points above the Bank of England base rate. The base rate recorded for this fictional example is 4.00%, so the applicable annual rate is 12.00%; on £17,280.00 for 30 days, simple interest is £17,280 × 0.12 × 30 ÷ 365 = £170.43, continuing at £5.68 per day after rounding to pennies. Brackenridge also reserves any fixed compensation permitted by that Act.

## 5. Review, escalation and outcome

Brackenridge sent a courtesy email on 6 October and a telephone reminder to North Quay's finance manager Imogen Price on 10 October. Imogen did not identify a dispute, set-off or counterclaim, but said that the invoice was awaiting internal approval. Internal approval does not change the contractual due date, and Brackenridge has not waived its right to interest or costs.

## 6. Reservations and practical protections

If cleared funds and any accrued interest are not received by 17:00 on 22 October 2031, Brackenridge may refer the account to its solicitors or a debt-recovery provider, issue a county court claim, and seek interest, fixed compensation and recoverable costs. It will consider a written payment proposal received before the deadline, but accepting a proposal will require written agreement and will not itself suspend interest.

## 7. England and Wales law and completion

This completed fictional letter is dated 15 October 2031 and is governed by England and Wales law. Payment of the principal will not waive rights to accrued interest unless Brackenridge confirms that expressly in writing; a genuine dispute should be particularised immediately with supporting documents. Brackenridge keeps the order, acceptance email, invoice, reminders and delivery evidence and asks North Quay to acknowledge receipt. If the parties negotiate payment, North Quay must specify the proposed amount, date and transfer method and obtain Brackenridge's written confirmation.
