# PHOTOGRAPHY AND VIDEOGRAPHY SERVICES AGREEMENT

Parties: Sarah Clark Photography and James Wilson and Emma Wilson
## 1. Parties and purpose
Sarah Jane Clark, trading as Sarah Clark Photography, of 6 Clifton Mews, Bristol BS8 2PT will photograph James Wilson and Emma Wilson's wedding at St Luke's Church and the Harbour Hotel, Bristol, on 14 June 2029. Sarah will arrive at 09:30 and provide up to 11 hours of photographic coverage and a five-minute highlights video.
## 2. Scope, price and subject
The deliverables are 350–450 colour-corrected and lightly retouched JPEG photographs, a 4K H.264 highlights video, a password-protected online gallery for 12 months and a 20-image preview within five business days. RAW files, extensive retouching, album design and drone footage are excluded unless separately quoted. The total fee is £3,000 including VAT: £600 booking retainer and £2,400 due 14 days before the event.
## 3. Operating duties
Sarah will use professional equipment with a backup camera and cards, follow the venue's access and safety rules, and make reasonable efforts to capture requested family groups listed by 1 June. The couple must obtain venue permissions and tell Sarah about restrictions, vulnerable guests or a no-publication request. Sarah may use a second photographer only after notifying the couple.
## 4. Compliance, records and controls
Sarah retains copyright under the Copyright, Designs and Patents Act 1988. After full payment, she grants the couple a worldwide, perpetual, royalty-free licence for private printing and personal social-media use, with credit where practicable; commercial or supplier advertising use requires a separate licence. Sarah will not publish identifiable images where the couple has opted out in writing, subject to images already lawfully printed or submitted to a competition.
## 5. Term, ending and remedies
Cancellation more than 90 days before the event forfeits the retainer; cancellation 30–90 days before requires 50% of the fee; cancellation within 30 days requires the full fee, less demonstrable savings. One rescheduling to an available date within 12 months transfers the retainer. If Sarah cannot attend through serious illness or force majeure, she will offer a suitable replacement or refund sums for undelivered services.
## 6. Liability and reservations
Sarah will keep edited files on encrypted off-site storage for three months after delivery and RAW files for 60 days, after which the couple must maintain its own copies. Neither party excludes liability for death, personal injury caused by negligence, fraud or any liability that cannot lawfully be limited. For other loss, Sarah's aggregate liability is capped at fees paid, and her remedy for total equipment failure is a proportionate refund.
## 7. Governing law and signatures
The agreement is governed by England and Wales law. Notices may be delivered by hand or post to the stated addresses, or by email to the notified addresses, and email is effective when the recipient's server records delivery on a business day. The parties sign on 2 May 2029; consumer rights under the Consumer Rights Act 2015 remain unaffected.
