# PR AND COMMUNICATIONS RETAINER AGREEMENT

Parties: Bright Spark PR Limited and Northstar HR Technology Limited
## 1. Parties and purpose
Bright Spark PR Limited (Company No. 33445566) of 12 Queen Square, Bristol BS1 4NH is appointed by Northstar HR Technology Limited (Company No. 77889900) of 55 Temple Street, London EC4Y 0HP for UK public-relations support. Bright Spark's account lead is Maya Patel; Northstar's approval contact is Chief Executive Daniel Foster.
## 2. Scope, price and subject
The monthly retainer of £3,500 plus VAT covers two press releases, proactive journalist pitching, media monitoring, a monthly coverage report and one strategy meeting. Crisis support is available during business hours; out-of-hours work is £225 per hour. Pre-approved expenses above £50 and third-party production are reimbursed at cost. No coverage or publication result is guaranteed.
## 3. Operating duties
Northstar owns final copy and bespoke artwork on payment, while Bright Spark retains its pre-existing tools, templates, know-how and generic methodologies. Bright Spark may include publicly released work in a credentials deck unless Northstar gives a reasonable written opt-out. Each party must keep embargoed information confidential and use it only for the engagement.
## 4. Compliance, records and controls
Northstar approves press releases and public statements within 48 hours and social copy within eight business hours. Bright Spark must not publish unapproved factual claims, regulated financial promotions or personal data. Silence is not deemed approval; after two documented chasers Bright Spark may pause the item or proceed only where Daniel expressly authorises a deemed-approval exception in writing.
## 5. Term, ending and remedies
Bright Spark will not knowingly represent a direct competitor in UK HR software during the term and will disclose a potential conflict. Northstar supplies accurate substantiation, lawful customer permissions and an up-to-date crisis contact tree. KPIs are monthly activity and quality metrics, not a promise of media impressions; the parties review them quarterly.
## 6. Liability and reservations
The initial term is 12 months from 1 July 2029, then monthly rolling. Either party may give three calendar months' notice after the initial term; either may terminate for material breach after 20 business days to remedy, insolvency or a serious unlawful publication. On ending, Bright Spark delivers paid-for work, returns confidential material and gives a reasonable transition briefing.
## 7. Governing law and signatures
This is a services contract, not an agency with authority to bind Northstar, and neither party may make a public admission for the other. England and Wales law governs; notices may be hand-delivered, posted or emailed separately to the stated legal contacts, with email effective on recorded delivery. Maya Patel and Daniel Foster sign on 1 July 2029.
