# PRIVATE PROPERTY SALE AGREEMENT

Parties: Daniel Foster and Priya Shah
## 1. Parties and purpose
Daniel Foster of 2 Meadow View, Canterbury CT1 3PX (Seller) records these agreed heads for the proposed sale to Priya Shah of 11 Sturry Road, Canterbury CT2 7AB (Buyer) of 2 Meadow View, freehold Title No. KENT884120.
## 2. Money and rights
The indicative price is £412,000, subject to contract, satisfactory searches, survey, mortgage and formal exchange. The property includes the fitted kitchen, integrated appliances, curtains, garden shed and two allocated parking spaces; the seller will remove personal items.
## 3. Duties and operation
Daniel warrants, so far as he knows, that he is registered proprietor, has authority to sell, will disclose known notices and rights affecting the title, and will provide the official register, property-information form and fittings list to the conveyancers.
## 4. Consent and management
Completion is proposed for 28 March 2030 with vacant possession. Risk and responsibility remain with Daniel until completion, and Priya must not occupy, alter or grant a charge before completion. A £20,600 deposit is payable on exchange under the formal contract.
## 5. Ending and remedies
The buyer's survey identified an old rear extension and a shared access route. Daniel will provide the 2014 building-control completion certificate and title covenant documents; Priya will decide whether to proceed after legal advice and lender approval.
## 6. Legal reservations
No part of this memorandum itself transfers land or creates an enforceable contract for sale. The parties will instruct separate conveyancers; the Law Society Standard Conditions of Sale and any negotiated special conditions will govern after exchange.
## 7. Signatures
Each party bears its own professional costs and must not rely on the other as a conveyancer or surveyor. England and Wales law applies. Any notice is effective by hand, first-class post or email to the stated address, with a clear receipt record.
