# PRODUCT TESTING AGREEMENT

Parties: Lumen Devices Ltd and Alder Research Services Ltd
## 1. Purpose and parties
Lumen Devices Ltd appoints Alder Research Services Ltd to test 120 PulseBand-3 wearable prototypes under this agreement dated 20 June 2033. Alder is an independent testing contractor, not an agent or employee, and may not describe the prototype as approved for sale.
## 2. Facts, scope and terms
The test runs from 1 July to 31 August 2033 at Alder's Cambridge laboratory. Alder will use 100 adult volunteers recruited with informed consent and retain 20 devices for bench testing. The protocol in Schedule 1 measures battery life, heart-rate readings and strap durability against the stated acceptance criteria.
## 3. Process and responsibilities
Alder must obtain ethics approval where required, screen volunteers, explain foreseeable risks, obtain written consent, and provide a safe withdrawal route. A serious adverse event must be reported to Lumen within 24 hours and to the appropriate authority where law requires. Lumen may pause testing for a credible safety concern.
## 4. Evidence, records and safeguards
Lumen will deliver 120 labelled devices and calibration records by 26 June. Alder will keep chain-of-custody logs, version-control the firmware, and not alter hardware or transmit data outside the United Kingdom without written approval. Each party must follow UK data-protection law; volunteers receive the privacy notice before collection.
## 5. Review, escalation and outcome
Alder owns its pre-existing methods and receives £24,000 plus VAT in two equal £12,000 instalments: on signature and on delivery of the final report. Lumen owns the prototypes, raw test data and project report on payment, while Alder may retain anonymised statistical know-how that cannot identify Lumen or a volunteer.
## 6. Reservations and practical protections
Alder will send a weekly progress note, a safety notification immediately when needed, and a signed final report by 15 September 2033. Lumen may audit relevant records on five business days' notice. Each party keeps confidential information for five years; personal data is kept only as long as documented retention requires.
## 7. England and Wales law and completion
Either party may terminate for uncured material breach after 10 business days' notice; Lumen may terminate immediately for serious safety or confidentiality risk. Alder returns devices and securely deletes or returns personal data on termination. This completed agreement is governed by England and Wales law, caps ordinary liability at £48,000 except for fraud, death or personal injury caused by negligence, and is signed by authorised representatives.
