# PROPERTY PURCHASE EXCLUSIVITY AGREEMENT

Date: 6 October 2025

Parties: Buyer: Maya Collins, 4 Park View, Leeds LS6 2AB. Seller: Robert Finch, 19 Oak Crescent, Leeds LS8 4RT. Property: 11 Willow Lane, Leeds LS7 3QN.

## 1. Property and exclusivity

For 11 Willow Lane, Leeds LS7 3QN (title number WYK442190), the parties record an indicative price of £365,000. From 6 October until 3 November 2025, Robert must not market the property, arrange viewings for another buyer, solicit or accept another offer, or grant another exclusivity right. He may answer an existing lender or managing-agent query disclosed to Maya before signature.

## 2. Buyer's diligence

Maya will instruct her conveyancer, Priya Nair of Nair Legal, by 8 October, submit a mortgage application by 10 October and commission a Level 2 survey by 15 October. She will pursue searches and enquiries diligently and update Robert's solicitor, Ellis & Co, about material progress. These steps do not oblige her lender or conveyancer to approve the purchase.

## 3. Seller's cooperation

Robert will instruct Ellis & Co by 8 October, provide the title, property information form and guarantees in his possession, and permit the survey on reasonable notice. He will not withdraw except under the permitted exit in this agreement. The parties acknowledge that exchange of contracts, not this document, normally creates the binding sale obligation.

## 4. Exit fee and permitted exit

If Robert breaches exclusivity or withdraws without the permitted reason, he will pay Maya £1,500 within 10 days of written demand as an agreed contribution to wasted transaction costs, subject to applicable law. Maya may withdraw without that payment if written mortgage refusal, a title defect, or a survey defect requiring works estimated above £18,250 is evidenced. If Maya withdraws for another reason, she will pay Robert £750 within 10 days.

## 5. Confidentiality, law and execution

Each party will keep the price and exchanged documents confidential except for professional advisers, lenders, legal duty or consent. The period ends automatically at 5pm on 3 November unless extended in a signed writing. This is not a contract to purchase and no guarantee is given that completion will occur.
