PROPERTY PURCHASE OFFER LETTER

This fictional letter is an illustrative offer, not legal advice and not a universally binding contract for the sale of land. Whether an offer is binding, how it must be signed, and when a property contract becomes effective vary by jurisdiction. Local conveyancing rules, disclosure obligations, identity checks, mortgage requirements, taxes, searches, survey standards and registration formalities must be confirmed before anyone relies on this letter.

1. The property and price
We offer to purchase Rosebank Cottage, 6 Orchard Lane, Fulford, York YO10 4NX, together with the garden, garage, rights and fixtures normally included in the sale, for £465,000. Our offer is subject to the terms and conditions in this letter and to a formal sale contract being negotiated, approved and signed in the manner required by the applicable law.
The offer is made in good faith and is open for acceptance in writing by 5:00 p.m. on 25 September 2026. Acceptance by that time would allow the parties and their conveyancers to progress the transaction, but it does not itself remove any legal requirement for a formal contract, exchange, witnessing, notarisation, registration or other completion step.
2. Funding and deposit
We intend to fund £185,000 from our savings and £280,000 with a proposed mortgage from North Coast Bank. We have a mortgage agreement in principle dated 9 September 2026, but the bank has not made a final lending decision. Our purchase is therefore subject to satisfactory valuation and formal mortgage approval. We will provide reasonable evidence of funds and identity to the estate agent and conveyancers.
On exchange or the equivalent binding stage, we expect to pay a deposit of £46,500, with the balance of £418,500 payable on completion, subject to the formal contract. No deposit is due merely because this letter is accepted.
3. Survey, searches and title
Our offer is subject to a satisfactory independent building survey by Mason Field Surveying, which we expect to commission by 30 September 2026. We may renegotiate or withdraw before a binding contract if the survey identifies structural movement, significant damp, unsafe services, boundary problems or anticipated repair costs above £12,000, unless we agree a price adjustment in writing.
The offer is also subject to satisfactory local authority, drainage, environmental and other customary searches; review of the registered title and plan; confirmation of legal access; and confirmation that the house, garage, conservatory and other improvements have the necessary planning and building approvals. The sellers should disclose known notices, disputes, contamination, insurance claims, rights affecting the property and any proposed development that must be disclosed by law.
4. Fixtures, contents and condition
The price includes the fitted kitchen, integrated appliances, curtains, light fittings, bathroom fittings, garden shed, garage shelving and the freestanding wood stove, provided that the sellers own them and they can lawfully be transferred. The sellers may remove personal furniture, artwork and the blue greenhouse unless we agree otherwise.
The property should be handed over substantially in the condition inspected, allowing for fair wear and tear, with vacant possession and all keys, alarm codes, warranties, manuals and certificates. Neither party gives a warranty beyond statements properly included in the formal contract or required by law. We will not rely on an informal statement that is not recorded and confirmed by our conveyancer.
5. Proposed timetable
We propose that the sellers' conveyancer supplies the draft contract, title documents and completed property information by 2 October 2026. Subject to satisfactory enquiries, survey, searches and mortgage approval, we aim to reach the binding stage by 23 October 2026 and complete on 20 November 2026. We can consider a reasonable alternative date if the sellers need to coordinate an onward purchase.
Our current position is that we have no property to sell and can proceed without a related sale. We will arrange a final inspection within 48 hours before completion, at a mutually convenient time. Risk, insurance, occupation and responsibility for utilities will transfer only as provided by the formal contract and applicable law.
6. Legal process and costs
Each side will appoint its own conveyancer and pay its own costs, except as stated in the formal contract. We will instruct Cedar Legal LLP, 19 Stonegate, York YO1 8AW, subject to its checks, and expect the sellers to discharge charges required to give good title.
7. No misleading reliance and withdrawal
This offer is based on information presently available and is not acceptance of an unverified representation. We may withdraw it before a binding contract if material information, funding or title is unsatisfactory. The sellers may reject or counteroffer, and neither side should incur irrecoverable expense in reliance on this letter.
8. Acceptance and governing framework
If the sellers wish to proceed, they should sign the acknowledgement below and return it to Linden & Co Estate Agents by the deadline. The acknowledgement records willingness to negotiate on these terms; it does not by itself create a sale contract. The formal contract must state the property, price, completion arrangements and any special conditions, and must satisfy the law of the place where the land is located.
The property is in England. The parties should obtain advice on the law of England and Wales, land-registration rules, tax, lender conditions and any local signing formalities. This letter is not a substitute for a properly prepared and completed land sale contract.
