# PROPERTY REFURBISHMENT AGREEMENT

Parties: Northmere Properties Ltd and Vale & Finch Contractors Ltd
## 1. Parties and purpose
Northmere Properties Ltd (Company No. 12004561) appoints Vale & Finch Contractors Ltd (Company No. 08821457) to refurbish 17 Calder Street, Leeds LS6 2JW. The contract documents are the drawings dated 1 March 2029, the specification, the schedule of condition and this agreement; the contractor confirms it inspected the occupied terrace property.
## 2. Scope, price and subject
The £186,000 contract sum is fixed except for approved variations and the £12,000 kitchen provisional sum. Works include re-wiring, plumbing, insulation, a rear extension roof, two bathrooms and decoration; asbestos removal, planning redesign and contaminated soil are excluded. Start is 18 March with practical completion due 30 August 2029.
## 3. Operating duties
Vale & Finch submits a programme and weekly progress report. No variation is payable unless Northmere’s contract administrator issues a written instruction stating scope and price or valuation basis. Stage payments follow monthly applications, payment notices and pay-less notices under the Housing Grants, Construction and Regeneration Act 1996; ten per cent retention is released half at completion and half after defects.
## 4. Compliance, records and controls
The contractor must achieve practical completion, provide certificates, test results, warranties and an updated health-and-safety file, then remedy the agreed snagging list. A 12-month defects liability period begins at completion; notified defects are remedied within a reasonable time. Delay damages are £450 per week, capped at £13,500, subject to agreed extensions.
## 5. Term, ending and remedies
Vale & Finch maintains public liability £5 million, employers’ liability £10 million and contract-works insurance. It is the principal contractor for CDM 2015 purposes where appointed as such, prepares the construction phase plan, controls site risks and protects neighbours. Northmere provides access and acts as client under CDM 2015, with duties allocated by written appointment.
## 6. Liability and reservations
A dispute goes first to the contract administrator and then mediation. Either party retains the statutory right to adjudication under the 1996 Act; an adjudicator’s decision is temporarily binding unless revised by agreement or final determination. Termination follows material breach and notice, insolvency or abandonment, with valuation of work properly carried out.
## 7. Governing law and signatures
English law governs and courts of England and Wales have jurisdiction. Northmere’s director Imogen Reed and Vale & Finch’s director Marcus Webb sign on 12 March 2029. Nothing permits unsafe work, circumvents planning or building regulations, or excludes mandatory payment and adjudication rights.
