# PRIVATE PROPERTY SALE AGREEMENT

Date: 22 September 2031

Parties: Grace Turner and Michael Turner and Leila Shah

## 1. Purpose and parties

Grace and Michael Turner agree heads of terms to sell the freehold house at 18 Rowan Crescent, York, title YK445901, to Leila Shah for £425,000. The property is to be sold with vacant possession, subject to title investigation, contract exchange and completion.

## 2. Facts, scope and terms

Leila will pay a 10% deposit on exchange and the balance on completion targeted for 30 November 2031. The TA6 and TA10 replies identify the fitted kitchen, carpets and shed as included and the garden studio contents as excluded; fixtures are not removed before completion without written agreement.

## 3. Process and responsibilities

The parties acknowledge that this document records agreed commercial terms and is not itself the conveyance or a binding land contract unless executed with all formalities required by section 2 Law of Property (Miscellaneous Provisions) Act 1989. Solicitors must prepare and exchange the formal contract and transfer.

## 4. Evidence, records and safeguards

The sellers will provide official copies, replies to enquiries, planning and building-regulation information and discharge their mortgage at completion. Leila will arrange searches and finance; a mortgage offer is not a condition unless the formal contract says so. Risk and insurance follow the exchanged contract terms.

## 5. Review, escalation and outcome

Each party preserves evidence of title, agreed fixtures and communications. The sellers disclose a historic rear extension and a 2026 planning certificate; Leila may raise enquiries and withdraw or renegotiate before exchange. No statement is a warranty beyond the formal contract.

## 6. Reservations and practical protections

Stamp Duty Land Tax, conveyancing costs and registration are dealt with by the relevant party. Late completion interest, remedies and deposit consequences will be those in the standard conditions adopted on exchange. Neither party may market a competing sale after exchange except as the contract permits.

## 7. England and Wales law and completion

England and Wales property law governs. Signed on 22 September 2031 by the parties and their solicitors, with hand, post and email as separate permitted notice methods. No legal completion or transfer of title occurs merely on signing this worked example.
