# EXAMPLE: RECRUITMENT AGENCY PREFERRED SUPPLIER AGREEMENT

Parties: Northmere Foods Limited and Greenbank Recruitment Limited
## 1. Parties and consideration
Northmere Foods Limited appoints Greenbank Recruitment Limited to its preferred supplier list for permanent warehouse, engineering and food-safety roles from 1 July 2028. The appointment is non-exclusive and no minimum vacancies or spend is promised.
## 2. Subject matter
Greenbank must send only candidates who have consented to the submission, right-to-work checks and the stated role. Each introduction includes the candidate's name, role, consent date, availability and salary expectation.
## 3. Operating terms
For a candidate hired within six months of a valid introduction, Northmere pays 15% of first-year base salary plus VAT within 30 days of invoice. No fee is due for a candidate already known to Northmere and evidenced in its ATS.
## 4. Document mechanics
The fee is refunded in full if employment ends within four weeks, 50% if it ends during weeks five to eight and 25% during weeks nine to twelve, except redundancy, role closure or Northmere's material breach.
## 5. Party obligations
Greenbank must not charge a candidate, discriminate in sourcing, misrepresent the role, or supply a worker without required checks. It must comply with the Conduct of Employment Agencies and Employment Businesses Regulations 2003 and keep audit records.
## 6. Termination and survival
Each party processes candidate data only for recruitment, gives lawful privacy information and reports a data incident within 24 hours. Northmere controls interviews, references, safeguarding checks, offer terms and the hiring decision.
## 7. Signatures
Either party may terminate on 30 days' notice; immediate termination applies to serious compliance failure or insolvency. Candidate fee, confidentiality, data, audit and dispute clauses survive. The parties meet before proceedings in England and Wales. Signed: ____________________.
