# REGISTERED OFFICE AGREEMENT

Parties: Cedar Lane Ventures Limited and Harbour House Services Limited

## 1. Purpose and parties

Cedar Lane Ventures Limited appoints Harbour House Services Limited to provide its registered office at 22 Harbour Square, Bristol, from 1 November 2031. Cedar's company number is 14620831 and its directors are Maeve O'Connor and Lewis Grant; Harbour is not Cedar's director, secretary or legal adviser.

## 2. Facts, scope and terms

Harbour will receive and promptly scan Companies House, HMRC, court and regulator correspondence addressed to Cedar, forward originals weekly by tracked post and send a same-day alert for a document marked urgent. The service excludes parcel storage, trading premises, director service addresses and false statements about Cedar's presence.

## 3. Process and responsibilities

Cedar pays £95 plus VAT monthly by direct debit and supplies current officer details. Harbour may refuse unsafe or unlawful items, but must keep a receipt log and notify Cedar rather than silently discard a letter; Cedar remains responsible for filings, deadlines and the accuracy of its registered information.

## 4. Evidence, records and safeguards

Access is available to an authorised inspector on reasonable notice during 9:00–17:00 weekdays, subject to security and data-minimisation controls. Harbour encrypts scans, restricts staff access, retains mail logs for six years and reports a suspected misdelivery within 24 hours.

## 5. Review, escalation and outcome

Either party may terminate on 30 days' notice; Harbour may suspend new mail handling for two unpaid months after a seven-day warning, but must return statutory mail and provide a forwarding record. Cedar must file its change of registered office before termination takes effect.

## 6. Reservations and practical protections

The parties will cooperate with Companies House, law-enforcement and regulators where legally required, and will not use the service to mislead creditors or consumers. Liability is not excluded for fraud, deliberate misuse, death or personal injury caused by negligence; other direct loss is capped at twelve months' fees.

## 7. England and Wales law and completion

This completed fictional agreement is dated 18 October 2031 and governed by England and Wales law. Notices are sent to the registered office and nominated email, and each party signs and retains the service schedule and data-security annex.
