# RESIDENTS ASSOCIATION CONSTITUTION

Date: 12 March 2032

Parties: Oakbridge Court Residents Association and its resident members

## 1. Purpose and parties

The association is called Oakbridge Court Residents Association and covers every flat and the shared grounds at Oakbridge Court, 14–28 Willow Lane, Reading RG1 6QH. Its purposes are to represent residents, promote safe and well-maintained common parts, discuss service-charge and building-management issues, and communicate collective views to Oakbridge Court Residents Management Company Limited and the landlord.

## 2. Facts, scope and terms

A leaseholder or tenant who occupies one of the 24 flats may become a full member by completing the membership form and paying the annual subscription of £24. A non-resident leaseholder may be an associate member without a vote. Membership ends when the person ceases to occupy the flat, or earlier on written resignation, but unpaid subscriptions remain due. An ordinary member is not liable for the association's debts merely by reason of membership; liability incurred through a member's or officer's authorised contracts or wrongdoing is preserved.

## 3. Process and responsibilities

The officers are Chair Aisha Rahman, Vice-Chair Tom Ellis, Secretary Helen Price and Treasurer Michael Green, elected at the annual general meeting on 12 March 2032. The committee may have up to seven members, including the four officers. It must act in the association's interests, disclose conflicts before a decision and keep a decision log; no officer may commit more than £500 without an approved budget.

## 4. Evidence, records and safeguards

The annual general meeting will be held within 15 months of the previous one on at least 21 days' written notice stating the agenda. Six full members form a quorum, and an extraordinary meeting must be called within 28 days of a written request signed by at least 10 full members. Each full member has one vote; a simple majority decides ordinary business, while a 75% majority at a properly convened meeting is required to amend this constitution.

## 5. Review, escalation and outcome

The Treasurer will keep a bank account in the association's name, require two authorised approvals for payments above £250, present quarterly income and expenditure reports, and prepare annual accounts for approval at the AGM. The association may spend subscriptions on meetings, independent advice, accessible communications and resident projects, but may not distribute surplus to members or make a political donation. Records are retained for six years.

## 6. Reservations and practical protections

Minutes, agendas, accounts and policies will be shared in accessible electronic format and, on request, in large print or another reasonable format. Personal information is limited to membership, safeguarding, contact and payment administration. A complaint about an officer is reviewed by two uninvolved committee members; a serious safeguarding concern may be referred promptly to the appropriate authority without waiting for a meeting.

## 7. England and Wales law and completion

The committee may propose dissolution at an AGM or SGM, with at least 75% approval and settlement of all liabilities. Any remaining money must be transferred to a local community organisation with a similar housing purpose, not divided among members.
