# RIGHT OF FIRST REFUSAL NOTICE

Parties: Maple Heights Freehold Limited and the qualifying tenants of Maple Heights
## 1. Purpose and parties
Maple Heights Freehold Limited, registered office 2 Kingsway, Bristol BS1 4QH, gives this offer notice under Part I of the Landlord and Tenant Act 1987 to the qualifying tenants of Maple Heights, 40–50 Alder Road, Bristol BS7 8LN. The proposed disposal is the freehold of the 12-flat building, including the entrance hall, gardens, roof and management rights.
## 2. Facts, scope and terms
The company has received a bona fide offer of £485,000 from Harcourt Estates (West) Limited, but must first offer the freehold to the qualifying tenants on the same principal terms. The offer excludes the landlord's unrelated adjoining garage at 52 Alder Road and is conditional on completion with vacant possession of no individual flat, because all flats remain subject to their existing leases.
## 3. Process and responsibilities
The qualifying tenants may accept by written notice received at the registered office by 17:00 on 18 May 2032, being two months after this notice. Acceptance must be signed by the required majority of qualifying tenants and must identify the nominee purchaser. The tenants then have a further two months, ending on 18 July 2032, to nominate or confirm the purchaser and agree completion arrangements.
## 4. Evidence, records and safeguards
For this notice, the 12 qualifying flats are identified by their leaseholders: Emily Carter at Flat 1, Raj Singh at Flat 2, Olivia Hughes at Flat 3, Noah Williams at Flat 4, Grace Turner at Flat 5, Adam Lewis at Flat 6, Chloe Martin at Flat 7, Yusuf Ahmed at Flat 8, Isla Brown at Flat 9, Leo Wilson at Flat 10, Mia Davies at Flat 11 and Jack Evans at Flat 12. Each address is Maple Heights, 40–50 Alder Road, Bristol BS7 8LN.
## 5. Review, escalation and outcome
The nominee purchaser must provide evidence of authority, funding and conveyancer details, and the tenants must pay the landlord's reasonable legal and valuation costs permitted by the Act. The landlord will provide the title information, leases, insurance schedule and service-charge accounts reasonably needed for due diligence, while personal data will be used only for this statutory transaction.
## 6. Reservations and practical protections
If the offer is not accepted by 18 May 2032, or the nominee purchaser is not properly confirmed by 18 July 2032, the landlord may proceed with Harcourt Estates (West) Limited during the statutory period, but not at a lower price or on materially more favourable terms than those offered here. The notice is not an acceptance by any tenant, and silence is not treated as acceptance.
## 7. England and Wales law and completion
This completed fictional notice is dated 18 March 2032 and is intended to be served in England and Wales. It does not transfer the freehold, vary a lease or guarantee that a sale will complete. The landlord retains proof of service and the offer documents, and every tenant should obtain independent legal and valuation advice before responding.
