# SERVICE VARIATION AGREEMENT

Parties: Beacon Cloud Ltd and Elm Legal Services Ltd
## 1. Scope of variation
From 1 June 2038, Beacon will monitor Elm's agreed production services continuously during each business day and acknowledge a qualifying incident within four hours. The response target concerns acknowledgement and triage, not guaranteed resolution.
## 2. Fee and invoicing
Elm will pay £7,800 per month, plus any applicable tax, instead of £6,000. Beacon may invoice monthly in arrears under the master agreement, and Elm must raise a good-faith invoice query within the period stated there.
## 3. Continuing obligations
The service levels, data-processing provisions, security controls, confidentiality duties and liability limits in the master agreement remain unchanged. Neither party receives a broader licence or data right merely because monitoring hours increase.
## 4. Term and ending
This variation starts on 1 June 2038 when signed by both parties and continues for the remaining term of the master agreement. Ending or suspension rights remain those in that agreement, including any required notice and cure process.
## 5. Law and execution
This variation and any non-contractual dispute are governed by the law of England and Wales, with the courts of England and Wales having jurisdiction. Each party confirms authority to sign, and counterparts and electronic signatures are effective.
