# SHARE SUBSCRIPTION AGREEMENT

Parties: Larch Digital Ltd and Rowan Capital LLP

## 1. Purpose and parties

Larch Digital Ltd agrees to allot Rowan Capital LLP 120,000 ordinary shares of £0.01 each at £2.50 per share, for an aggregate subscription price of £300,000. The shares rank equally with the existing ordinary shares after issue and are issued for cash, not services.

## 2. Facts, scope and terms

Completion is conditional on board approval, required shareholder authority, satisfactory due diligence and receipt of cleared funds. Rowan will subscribe on 6 May 2036; Larch will issue a share certificate, update its register of members and make required Companies House filings.

## 3. Process and responsibilities

The company warrants its authority and the accuracy of the agreed information, subject to disclosed matters. The investor confirms its capacity and source of funds. This agreement does not promise a return, alter minority protections or exclude statutory rights.
