# SOLAR PANEL ROOF LICENCE

Parties: Greenfield Estates Ltd and Sunward Energy Cooperative

## 1. Purpose and parties

Greenfield Estates Ltd (the Owner) grants Sunward Energy Cooperative (Sunward) a personal, non-exclusive licence dated 18 March 2034 to install and operate solar equipment on the south roof of 88 Quarry Lane, York YO10 3LF. The licence is not intended to grant a lease or an interest in land, and it does not bind a mortgagee, superior landlord or successor unless properly consented to.

## 2. Facts, scope and terms

The licensed area is the roof plan marked Annex 1, together with reasonable routes for cables, a small inverter cabinet and access to the meter room. Sunward will install 24 panels with an estimated capacity of 9.6 kWp and will pay £1,200 per year in two equal instalments of £600 on 1 April and 1 October. No generation or export income is guaranteed by the Owner.

## 3. Process and responsibilities

Sunward must obtain and maintain planning, building-regulations, grid-connection, electrical and other permissions applicable to its works, and must obtain the Owner's written approval of drawings before starting. The Owner will reasonably cooperate with applications but does not warrant that permission will be granted. A competent contractor will provide method statements and protect the occupied building.

## 4. Evidence, records and safeguards

Sunward will maintain the equipment, keep public and employer liability insurance of at least £5 million, and promptly repair damage it causes. The Owner remains responsible for ordinary roof structure and pre-existing defects, subject to the parties' inspection report. Neither party may imply that the other has approved a subsidy, tariff, planning outcome or energy performance result.

## 5. Review, escalation and outcome

Access requires at least 48 hours' notice and coordination with the building manager, except for an emergency or urgent safety work. Sunward will minimise noise and interruption, follow health-and-safety controls, and keep records of inspections. The Owner may suspend access where reasonably necessary to prevent danger, but will give notice and cooperate on a safe alternative date.

## 6. Reservations and practical protections

The licence ends on 31 March 2044 unless ended earlier for an unremedied material breach, insolvency where lawful, or a required redevelopment subject to the agreed notice period. On ending, Sunward must safely isolate and remove the system within 60 days, make good fixings, remove waste and provide evidence of lawful disposal, unless a written transfer is agreed. The licence cannot be assigned without consent.

## 7. England and Wales law and completion

This completed fictional example is governed by England and Wales law and is not evidence of a registrable lease, planning consent, grid contract or lender consent. The parties will check title restrictions, roof condition, fire safety and consumer or cooperative rules before works. The fixed annual fee for year one is £1,200 (£600 + £600), while all yield, savings and export figures remain estimates requiring technical advice.
