Date: 2 September 2030

Parties: Rachel Evans, Michael Evans and Evans Joinery Limited

## 1. Purpose and parties

Transferor Rachel Evans of 21 Church Walk, Bath BA2 3JL transfers to transferee Michael Evans of the same address 120 fully paid Ordinary shares of £1 each in Evans Joinery Limited (Company No. 09182736), registered office 8 Foundry Lane, Bath BA1 4AA. The shares are identified by certificate J-04.

## 2. Facts, scope and terms

The transfer date is 2 September 2030. Consideration is £18,000 (£150 per share), paid by bank transfer under the parties' shareholder agreement. Rachel warrants that she owns the shares, they are fully paid and free from encumbrance, subject to the company's articles and any disclosed pre-emption waiver.

## 3. Process and responsibilities

The directors resolved on 26 August to waive the articles' pre-emption procedure after notice to the other shareholders. This form is not a share purchase agreement and gives no warranty about company value, tax, accounts or future dividends beyond the limited title warranty above.

## 4. Evidence, records and safeguards

The transferee signs acceptance and supplies an address for the register of members. The company secretary will inspect execution, board authority and certificate, cancel the old certificate, issue a new certificate, update the register of members and update the PSC register only if a relevant control threshold changes.

## 5. Review, escalation and outcome

Stamp duty is not automatically nil: for consideration above £1,000, stamp duty is generally 0.5% rounded up to the nearest £5, subject to current HMRC rules and exemptions. On £18,000 the indicative duty is £90. Michael must obtain HMRC instructions and send a properly completed stock transfer form for stamping where required; tax advice is separate.

## 6. Reservations and practical protections

The company does not make a Companies House filing for each ordinary transfer; the change is reflected at the next confirmation statement, while any PSC change must be recorded and notified within the statutory timetable. Until registration, legal title and voting may remain subject to the articles and company process.

## 7. England and Wales law and completion

The parties sign in the presence of witnesses where required by the form, retain copies and notify the company of a change of address. England and Wales law applies. Rachel, Michael and Company Secretary Helen Ward complete this worked form on 2 September 2030.
