# SUPPLIER TERMINATION LETTER

Date: 1 March 2038

Parties: Fallow Foods Ltd and PackRight Manufacturing Ltd

## 1. Addressee and subject

To: PackRight Manufacturing Ltd, 18 Foundry Lane, Coventry CV2 4QJ. Subject: notice under clause 14 of the printed-carton supply agreement dated 12 May 2036. Fallow Foods sends this letter to PackRight's contract manager as the agreed business contact.

## 2. Chronology and contractual basis

Clause 5 requires printed cartons within five working days of each order. The orders placed on 3, 10 and 17 February 2038 arrived respectively four, six and nine days late. Fallow Foods records £12,600 of rework and expedited freight connected with those delays. This letter identifies the alleged breach without asserting any remedy beyond the agreement and applicable law.

## 3. Notice and requested action

This is notice under clause 14. Unless PackRight cures the specified breach within the contractual cure period, the agreement will terminate on 31 March 2038. Please confirm by 12 March 2038 the cure steps, the quantity of finished cartons, and the proposed dates for collection or delivery.

## 4. Evidence and transition

Fallow Foods encloses the three purchase orders, delivery records, carrier invoices and a schedule supporting the £12,600 figure. Please reconcile remaining stock and outstanding invoices by 20 March 2038. We will cooperate with a safe handover of artwork and stock, but discussions do not waive any term.

## 5. Reservation and sign-off

Fallow Foods reserves its rights to seek the contractual remedies available for delay, subject to proof and any agreed limitation.
