# SUPPLY OF GOODS CONTRACT

Date: 6 May 2025

Parties: Supplier: GreenBox Manufacturing Ltd, 14 Aston Road, Birmingham B6 5TR. Buyer: Harbour Table Catering Ltd, 28 Avon Street, Bristol BS2 0GR.

## 1. Goods and order

GreenBox shall supply 1,200 food containers, 750ml capacity, specification GB-RF-750 revision 3 dated 2 May 2025, together with 1,200 fitted lids. Harbour Table shall issue purchase order HT-PO-0512, and no substitution is permitted without written approval.

## 2. Price, delivery and title

The price is £2.40 per container, so the goods total £2,880, plus VAT at the applicable rate. GreenBox shall deliver carriage paid to 28 Avon Street by 20 May 2025 during 08:00–17:00; risk passes on delivery and title passes when the price for the delivered goods is paid in full.

## 3. Inspection and warranty

Harbour Table may inspect and count the goods within five business days after delivery and must notify visible shortage or non-conformity with photographs and batch numbers. GreenBox warrants conformity with GB-RF-750 for six months after delivery and shall, at Harbour Table's choice, replace defective goods or refund their price, except for misuse or unauthorised modification.

## 4. Payment, liability and remedies

GreenBox will invoice on delivery and Harbour Table will pay the undisputed amount within 30 days. Neither party excludes liability for death or personal injury caused by negligence, fraud or liability that cannot lawfully be excluded. Subject to that, each party's aggregate liability under this order is capped at £10,000; late undisputed sums carry interest under the Late Payment of Commercial Debts (Interest) Act 1998 where applicable.

## 5. Term, law and execution

This contract ends when the goods are delivered, accepted and paid for, but warranty and accrued rights survive. Either party may terminate for a material breach not remedied within 14 days of written notice, or immediately on insolvency to the extent permitted by law.
