# TRANSLATION SERVICES AGREEMENT

Parties: Harbour Words Limited and Kinross Medical Devices Limited
## 1. Parties and purpose
Harbour Words Limited (Company No. 07445521), 15 Castle Street, London EC3V 0BT, will translate Kinross Medical Devices Limited's English product manuals and website copy into Japanese. Kinross's project manager is Rachel Moore; Harbour Words will appoint a qualified Japanese linguist and a technical reviewer with relevant medical-device vocabulary.
## 2. Scope, price and subject
The scope is 48,000 English words supplied in the version-controlled files dated 19 August 2029, including translation, one terminology glossary and one consolidated review round. It excludes sworn translation, regulatory submission, typesetting, new source text and later revisions. The price is £9,600 plus VAT, 40% on instruction and 60% on delivery of the accepted files.
## 3. Operating duties
Harbour Words will deliver the first batch by 13 September and the final batch by 4 October 2029 in editable DOCX and bilingual QA format. Kinross will provide a style guide, approved product names and regulatory context, and will return one consolidated query list within five business days. Harbour Words will correct objective mistranslation notified within 30 days.
## 4. Compliance, records and controls
Kinross retains ownership of its source text, product data, trademarks and confidential information. On full payment, Harbour Words assigns copyright in its bespoke translation to Kinross, but retains general language know-how and reusable non-confidential techniques. Harbour Words must not upload source or translated material to a public AI service or use it to train a model without written consent.
## 5. Term, ending and remedies
Both parties keep technical, personal and commercial information confidential and comply with UK GDPR where personal data is included. Harbour Words must use secure transfer, restrict access to the named team and notify a suspected data incident within 24 hours. Kinross warrants that it has rights to provide the source and is responsible for the legal accuracy of its product claims and regulatory instructions.
## 6. Liability and reservations
Harbour Words will exercise reasonable skill and care, but translation is not legal or regulatory advice and publication requires Kinross's final approval. Neither party excludes liability for fraud, deliberate misconduct, death or personal injury caused by negligence. Other aggregate liability is capped at twice the fees; neither party is liable for indirect loss, except confidentiality, data misuse or IP infringement.
## 7. Governing law and signatures
The agreement runs until final delivery and completion of correction, unless terminated for uncured material breach or insolvency. Unused advance fees are refunded less work properly performed. England and Wales law governs; notices may be hand-delivered, posted or emailed as separate methods, and the parties' directors Rachel Moore and Kenji Watanabe sign on 26 August 2029.
