## Deed status and parties

This fictional deed is made on 30 June 2027 between Fenland Logistics Group Limited and its affected employees. It is an indemnity, not insurance, and does not authorise an unlawful payment. Independent advice and the Companies Act 2006 should be checked.

## 1. Protected conduct

Fenland proposes to acquire the warehouse logistics undertaking from Moorland on 1 October 2027. The affected employees may transfer under the Transfer of Undertakings (Protection of Employment) Regulations 2006.

## 2. Covered loss and procedure

The reason is consolidation of the Sheffield and Peterborough operations. Continuity of employment and existing employment terms generally transfer, subject to statutory limits.

Sophie must give notice, mitigate loss and provide documents. Asterfield may assume conduct of a claim but must not settle an admission or obligation without Sophie's consent.

## 3. Exclusions and statutory limits

The employers currently envisage a new rota, one Peterborough reporting line and no redundancies at transfer. These measures may change after consultation.

The indemnity is secondary to valid insurance and does not cover a personal benefit. Nothing excludes fraud, criminal liability or a liability that law will not permit to be excluded.

## 4. Duration and survival

Employee liability information will be provided in the prescribed period. Appropriate representatives may ask questions, propose alternatives and receive a written response; nothing removes individual consultation rights.

The deed remains effective for claims notified within six years after service, subject to any shorter statutory limitation period and the duty to preserve evidence.

## 5. Law and execution as a deed

It is governed by England and Wales law. Sophie signs in the presence of an independent witness, who signs and gives a name and address; Asterfield executes through its authorised signatory.
