# WEBSITE AND DIGITAL DESIGN AGREEMENT

Date: 1 July 2029

Parties: Moorland Digital Studio Ltd and Alder & Finch Solicitors Ltd

## 1. Parties and purpose

Moorland Digital Studio Ltd (Company No. 13880102) will design and build Alder & Finch Solicitors Ltd’s public website at 18 Market Street, Sheffield S1 2GH. The deliverables are the approved sitemap, responsive designs, accessible front end, CMS configuration, analytics setup and launch support described in Schedule 1.

## 2. Scope, price and subject

The project fee is £48,000 plus VAT: £12,000 on kickoff, £12,000 after design approval, £18,000 on staging acceptance and £6,000 at launch. Moorland supplies a fortnightly report and the parties nominate one decision-maker each. A change request stating impact on fee and schedule must be approved before extra work starts.

## 3. Operating duties

Alder has ten business days to test each milestone against the acceptance criteria, including responsive behaviour, WCAG 2.2 AA design objectives, page speed targets and agreed content. A defect is remedied and retested; a material failure delays acceptance but minor cosmetic issues do not. Alder supplies lawful copy, images, cookie choices and professional approvals.

## 4. Compliance, records and controls

Moorland provides secure repositories, role-based CMS access, backups and a basic vulnerability remediation process. Alder remains controller of visitor data and publishes its own privacy and cookie notices; Moorland processes data only on documented instructions. Third-party fonts, plug-ins and stock assets remain subject to their licences and are identified in the handover.

## 5. Term, ending and remedies

On payment of all fees, Moorland assigns to Alder the copyright in bespoke designs, code and content created specifically for the site, including future rights, while retaining its reusable tools and know-how. Moorland grants a perpetual licence for embedded tools. Alder grants launch-use permission for its trademarks and supplied materials.

## 6. Liability and reservations

Three months of defect support is included after launch; ongoing hosting and support is £1,250 per month with a four-hour business-day response for critical outages. Either party may terminate for uncured material breach; Alder pays work properly completed and Moorland delivers work-in-progress and credentials. Confidentiality survives five years.

## 7. Governing law and signatures

English law governs and courts of England and Wales have jurisdiction. Moorland’s director Holly Singh and Alder’s managing partner Edward Miles sign on 1 July 2029. No launch date is guaranteed where Alder delays content or approval, and accessibility objectives do not replace a continuing legal accessibility assessment.
