# WEBSITE MAINTENANCE RETAINER AGREEMENT

Parties: Pixel Orchard Limited and Westmoor Museums Trust
## 1. Parties and purpose
Pixel Orchard Limited (Company No. 09883321) of 19 Canal Wharf, Manchester M4 6HQ will maintain Westmoor Museums Trust's website at westmoormuseums.org.uk. The service covers the WordPress core and named plugins, routine content updates, uptime monitoring, backups and technical support; it does not transfer ownership of the website or guarantee third-party hosting.
## 2. Scope, price and subject
The retainer is £1,250 plus VAT per month, including up to ten support hours, one monthly release window and critical incident response. Additional work is £125 per hour with written approval. The Trust pays by standing order on the first of each month. Pixel Orchard will not incur hosting, domain, stock-media or plugin licence charges without the Trust's prior approval.
## 3. Operating duties
For a Priority 1 security or availability incident, Pixel Orchard acknowledges within one hour and works continuously during business hours; Priority 2 is acknowledged within four business hours and Priority 3 within two business days. Planned maintenance is notified 48 hours ahead. The Trust supplies authorised credentials through the password manager, maintains lawful content and approves releases within three business days.
## 4. Compliance, records and controls
Pixel Orchard applies security updates, least-privilege access, malware scanning and weekly encrypted backups, and records changes in a ticket system. It must notify the Trust without undue delay of a personal-data breach or suspected compromise and co-operate with the Trust's controller obligations under UK GDPR. The Trust remains controller of visitor data; no processor activity outside the documented instructions is permitted.
## 5. Term, ending and remedies
The Trust owns its text, photographs, domain, data and paid-for bespoke code. Pixel Orchard owns pre-existing libraries and grants a perpetual licence to embedded tools necessary to operate the site. The Trust warrants image and accessibility rights; Pixel Orchard must not copy confidential donor information into a development environment and must obtain permission before using subcontractors.
## 6. Liability and reservations
The initial term is 12 months from 1 October 2029 and then monthly rolling with 60 days' notice. Either party may suspend or terminate for serious security risk, non-payment or uncured material breach. On exit, Pixel Orchard supplies a current backup, credentials, documentation and reasonable handover within ten business days, subject to cleared undisputed fees.
## 7. Governing law and signatures
Neither party limits liability for fraud, death or personal injury caused by negligence, deliberate misuse of personal data or IP infringement. Otherwise aggregate liability is capped at fees paid in the preceding 12 months and excludes lost donations or indirect loss. England and Wales law applies; notices can be hand-delivered, posted or emailed separately. The directors sign on 2 September 2029.
