# Franchise Termination Notice — Unremedied Royalty Default
Date: 19 October 2026
Parties and reference: Franchisor: Fern Coffee Network Ltd, 12 Bridge Court, Bristol BS1 4PX. Franchisee: Orchard Cafe Ltd, 7 Market Walk, Bath BA1 1PX. Franchise agreement EXAMPLE-FCN-240101.
## 1. Contract and service of this notice
For the attention of director Nina Cole: this is an open contractual notice under clauses 18.2 and 22 of the agreement dated 1 January 2024 for the Bath outlet. Clause 18.2 allows termination by written notice after an undisputed payment default remains unremedied for 14 calendar days following service of a cure notice. Clause 22 permits hand delivery to the registered office with service on delivery. This notice was hand delivered there at 10:00 on 19 October 2026; the signed delivery record is enclosed.
## 2. Default and expired cure period
The September royalty invoice EXAMPLE-0926 for £1,800, inclusive of VAT, was due on 21 September and remains unpaid. Our cure notice was hand delivered at 10:00 on 28 September and expressly allowed payment through 12 October inclusive. The enclosed delivery receipt, invoice and ledger show that period expired without payment; no dispute, agreed extension or waiver has been received. If those records are wrong, contact legal@ferncoffee.example.com immediately with evidence. This notice relies on that identified default, not an unexplained allegation of poor performance.
## 3. Termination and brand use
We exercise the contractual right to terminate with effect at 17:00 on 26 October 2026. Until then, safety and ordinary contractual duties continue. After that time stop presenting the business as a Fern Coffee franchise, taking new bookings under the brand, and using licensed marks, menus and online branding. Provide the de-branding plan by 23 October. This notice grants no right to enter, seize assets or lock you out; any disputed enforcement will follow lawful process. We do not assert a contractual post-termination restraint beyond its actual enforceable terms.
## 4. Accounts, property and customer arrangements
Provide final sales and royalty records through termination by 2 November. The £1,800 remains due, with credit for any receipt; further sums must be separately evidenced rather than treated as an automatic penalty. Return the franchisor-owned operations manual and display kit against a joint inventory by 2 November. Identify outstanding prepaid orders and agree who will fulfil or refund them; termination does not erase consumer rights. Personal data must not be transferred wholesale: establish lawful authority, necessary scope and secure transfer or retention before any customer handover.
## 5. Response, disputes and signature
Please acknowledge receipt and nominate a handover contact by 21 October. The agreement's staged senior-management discussion and mediation provisions remain available; starting a discussion does not itself suspend the stated termination date. Any extension must be expressly agreed in writing by authorised representatives. English law and the agreed England and Wales jurisdiction clause apply, subject to mandatory law. Signed by James Ellis, director, for Fern Coffee Network Ltd on 19 October 2026. This fictional notice depends on the assumed contract and service evidence, not a universal statutory termination period.
