# Commercial Letter of Undertaking — Payment and Equipment Return

Date: 12 October 2026

Parties and reference: Undertaking company: Pine Workshop Ltd, 6 Foundry Lane, Leeds LS10 1PX. Creditor: Cedar Systems Ltd, 20 Station Road, Leeds LS1 4PX. Invoice EXAMPLE-CS-0915.

## 1. Commercial basis and consideration

To Cedar Systems Ltd: Pine Workshop Ltd acknowledges invoice EXAMPLE-CS-0915 for £2,000 plus £400 VAT, total £2,400, as unpaid. In consideration of Pine's separate £1 payment received today, in addition to the existing debt and return obligations, Cedar agrees not to commence ordinary debt proceedings before 10 November 2026 while Pine complies with this agreement. The £1 is not credited against the invoice. This is an ordinary commercial contract accepted by both companies, not a solicitor's undertaking, personal guarantee or deed.

## 2. Payment promises and credit

Pine will pay £1,200 in cleared funds on 26 October 2026 and the remaining £1,200 on 9 November 2026 using Cedar's previously verified invoice payment route. Any account-change request must be independently verified by telephone using an established contact. Each instalment reduces the same £2,400 debt; there is no duplicate undertaking debt. Apart from the separate consideration already acknowledged above, no additional interest or fee arises under this agreement while the schedule is honoured.

## 3. Laptop and information return

Pine will return Cedar's loaned laptop, asset EXAMPLE-LT-27, with charger by tracked courier at Pine's cost for receipt by 19 October. Pine will not erase or access Cedar's business data and will give the courier receipt and tracking reference. A joint inventory and condition check will follow receipt. Any necessary dispute or legal-retention records will be preserved securely; the parties will agree a separate data-return or disposal protocol, not destroy evidence.

## 4. Default and completion

If Pine misses an obligation, Cedar will give written notice describing the breach and seven calendar days to remedy it. If not remedied, the forbearance ends and the unpaid balance may be pursued through lawful process, giving credit for all receipts. No automatic judgment or seizure power is created. On full payment and confirmed equipment return, Cedar will acknowledge completion and release this invoice claim, but not an unrelated claim or an agreed, evidenced equipment-damage claim.

## 5. Notices, law and company acceptance

Notices are delivered to the other company's address above and take effect on actual delivery. Changes must be signed by authorised representatives of both companies. England and Wales law and courts apply. Signed on 12 October 2026 by director Emma Collins for Pine Workshop Ltd and director Adam Price for Cedar Systems Ltd, each authorised to bind their company. Neither signs personally as guarantor.
