# Trade Mark Deed of Assignment

Date: 12 October 2026

Parties and reference: Assignor: Fern Designs Ltd, 12 Oak Yard, York YO1 7PX. Assignee: Fable Apparel Ltd, 8 River Lane, Leeds LS1 5PX. Mark: FERN & FABLE; fictional register identifier EXAMPLE-TM-0042, not a live IPO registration number.

## 1. Scheduled rights and scope

This deed concerns the assumed UK registration for the word mark FERN & FABLE, identifier EXAMPLE-TM-0042, in class 25 for T-shirts, sweatshirts and hats. That identifier and the parties are fictional and must not be treated as a statement about a live register. The entire assumed UK registration and its renewal rights are included. No EU registration, domain, company name, copyright artwork, stock or other asset is transferred by this deed.

## 2. Assignment and consideration

On delivery of this deed, Fern assigns to Fable all its right, title and interest in the scheduled UK mark, together with the goodwill of the business associated with that mark for the specified goods and, to the extent legally assignable, rights to bring and retain proceeds of claims for past infringement. Fern acknowledges cleared receipt of £10,000 plus £2,000 VAT, total £12,000. No licence back or retained right to use the mark is granted.

## 3. Title assurances and limits

Fern warrants that it owns the scheduled rights, has authority to assign them and has not granted an undisclosed licence, charge or conflicting assignment. It is not aware of a pending challenge or infringement claim affecting the mark and confirms no branded stock remains for sale by it. Fable has made its own register and commercial checks. These promises do not guarantee validity, non-infringement of every third-party right or profitability, and do not exclude liability for fraud.

## 4. Register update and further assistance

Fable will apply to record the ownership change at the UK Intellectual Property Office using the applicable TM16 process within 10 working days of delivery and pay the recordal fee. Fern will provide this executed deed and reasonably required evidence or signatures. A TM16 application records a transfer; it is not a substitute for the assignment itself. Fable is responsible for future renewals after delivery. Neither party represents that registration formalities can simply be ignored.

## 5. Delivery, law and notices

The parties intend this document to be a deed. Each withholds delivery until both execution blocks below have been signed and witnessed and the stated price has cleared; the deed is then delivered on 12 October 2026. Each signatory has board authority. England and Wales law and courts apply. Notices are delivered to the other company's address above and take effect on actual receipt. Further changes must be made by an appropriately executed written instrument.

## 6. Assignor execution

Executed as a deed by Fern Designs Ltd acting by its director Alice Lee, signing in the physical presence of witness Emma Wright, who attests that signature. Director signature: Alice Lee. Witness signature: Emma Wright. Witness address: 4 Birch Close, York YO24 3PX. Witness occupation: librarian. Both signed on 12 October 2026. The witness is not a party to this deed.

## 7. Assignee execution

Executed as a deed by Fable Apparel Ltd acting by its director Ben Turner, signing in the physical presence of witness Jack Morgan, who attests that signature. Director signature: Ben Turner. Witness signature: Jack Morgan. Witness address: 6 Willow Walk, Leeds LS6 2PX. Witness occupation: teacher. Both signed on 12 October 2026. The witness is not a party to this deed. These typed signatures are completed fictional examples, not execution of a real transaction.
